【摘要】：本論文以1897年至1949年間商務(wù)印書館的企業(yè)制度建設(shè)為研究對象,在運(yùn)用現(xiàn)代企業(yè)制度中的產(chǎn)權(quán)理論、組織機(jī)構(gòu)理論和管理原理的基礎(chǔ)之上,通過對商務(wù)印書館在此期間的產(chǎn)權(quán)制度、組織制度和管理制度的形成和建立的分析,力圖構(gòu)建起商務(wù)印書館現(xiàn)代企業(yè)制度的建設(shè)模型,探究其經(jīng)驗(yàn)和不足,為我國出版業(yè)的集團(tuán)化發(fā)展提供參考和借鑒。 文章的主體分為引言、正文、結(jié)語和附錄四個(gè)部分。 引言交代了本文的研究背景、研究目的、研究現(xiàn)狀、研究意義和相關(guān)的研究成果及其存在的研究空白,并進(jìn)一步對本研究的研究范疇做了說明。 文章的正文分為三章。第一章結(jié)合現(xiàn)代產(chǎn)權(quán)制度理論,分析了商務(wù)印書館自成立股份有限公司以來的產(chǎn)權(quán)歸屬和產(chǎn)權(quán)流轉(zhuǎn)。通過對商務(wù)印書館的產(chǎn)權(quán)歸屬關(guān)系、產(chǎn)權(quán)收益分配與支付及產(chǎn)權(quán)的支配和處理權(quán)的分析,從而得出,商務(wù)印書館股份有限公司成立以后,其產(chǎn)權(quán)制度就逐步明晰,并實(shí)現(xiàn)了出資者所有權(quán)、決策權(quán)和經(jīng)營權(quán)的分離,具有了現(xiàn)代產(chǎn)權(quán)制度的基本特征。第二章是對商務(wù)印書館組織制度的分析。分為兩節(jié),第一節(jié)研究商務(wù)印書館股份有限公司法人治理結(jié)構(gòu)的建立,從其股東大會(huì)、董事會(huì)的成立,總、副經(jīng)理和監(jiān)事的產(chǎn)生及其各自的相關(guān)職權(quán)分析得出,這一時(shí)期的商務(wù)印書館已經(jīng)建立起了完善的公司法人治理結(jié)構(gòu)。第二節(jié)則從商務(wù)的組織機(jī)構(gòu)入手,分析其“一處三所”(“一處四所”)的基本組織框架及其部門設(shè)置,并從其組織日常運(yùn)行中分析這一結(jié)構(gòu)的存在的必然性和存在的問題。第三章則在綜合運(yùn)用企業(yè)管理學(xué)、出版經(jīng)濟(jì)學(xué)等理論的基礎(chǔ)上,分析商務(wù)印書館的公司管理制度,從人力資源管理、財(cái)會(huì)制度改革與財(cái)務(wù)管理、書刊的生產(chǎn)管理、營銷管理和版權(quán)管理五個(gè)層面,對商務(wù)印書館在舊中國時(shí)期科學(xué)、規(guī)范的管理制度做一些總結(jié)和歸納,并進(jìn)一步分析商務(wù)“在管理中求效益”的成功之處。 文章的結(jié)語是本研究的升華和補(bǔ)充,主要分析了商務(wù)印書館在1897年至1949年間的企業(yè)化建設(shè)和發(fā)展中存在的封建家族色彩,最全文進(jìn)行了總結(jié)。 附錄部分主要輯錄了商務(wù)印書館總務(wù)處、總管理處、編譯所、印刷所、發(fā)行所的組織系統(tǒng)圖示,為本文分析商務(wù)印書館的組織機(jī)構(gòu)提供參考和依據(jù)。
[Abstract]:Based on the theory of property right , organization system and management system in modern enterprise system , this paper tries to construct the construction model of the modern enterprise system of commercial printing library , explore its experiences and shortcomings , and provide reference and reference for the collectivized development of the publishing industry in China .


The subject of the article is divided into four parts : preface , text , conclusion and appendix .


In this paper , the research background , research aim , research status , research significance and related research achievements and the research gaps in this paper are introduced , and the research scope of this study is further explained .


In chapter 1 , the paper analyzes the property rights and the transfer of property rights since the establishment of the business printing house .


The conclusion of this paper is the sublimation and supplement of this study , and mainly analyzes the color of the feudal family which exists in the enterprise ' s construction and development of the Commercial Press in the period from 18to 1949 , and the whole text is summarized .


The appendix part mainly records the general affairs office , the general management office , the compilation office , the printing office and the organization system diagram of the business printing house , and provides the reference and basis for the analysis of the organization structure of the business printing house .
