均勝集團(tuán)并購(gòu)促成長(zhǎng)戰(zhàn)略研究

【摘要】:隨著經(jīng)濟(jì)全球一體化浪潮的到來(lái),企業(yè)所面臨的經(jīng)營(yíng)環(huán)境更加復(fù)雜多變,很多企業(yè)由于沒(méi)有快速應(yīng)變的戰(zhàn)略,使得企業(yè)的發(fā)展處于停滯狀態(tài),有的甚至一落千丈,頻臨倒閉。因此,企業(yè)如何才能持續(xù)成長(zhǎng)已是我國(guó)經(jīng)濟(jì)發(fā)展過(guò)程中必須研究的重要課題。本文通過(guò)對(duì)均勝集團(tuán)的研究,運(yùn)用企業(yè)成長(zhǎng)戰(zhàn)略理論框架對(duì)該公司成長(zhǎng)歷程進(jìn)行剖析,重點(diǎn)分析企業(yè)不同成長(zhǎng)階段所面臨的內(nèi)外部環(huán)境,適時(shí)選擇實(shí)施國(guó)內(nèi)并購(gòu)與海外并購(gòu)、產(chǎn)業(yè)并購(gòu)與資本并購(gòu)。該企業(yè)抓住契機(jī),采取有效措施進(jìn)行并購(gòu)整合,充分發(fā)揮并購(gòu)的戰(zhàn)略效應(yīng)與協(xié)同效應(yīng),促進(jìn)了公司產(chǎn)業(yè)的轉(zhuǎn)型升級(jí)與國(guó)際化,并順利登陸資本市場(chǎng),實(shí)現(xiàn)了企業(yè)的可持續(xù)成長(zhǎng)。通過(guò)對(duì)均勝集團(tuán)成長(zhǎng)戰(zhàn)略的研究,我們可以得出以下結(jié)論:(1)企業(yè)成長(zhǎng)戰(zhàn)略的選擇必須在清晰的總體戰(zhàn)略目標(biāo)的指導(dǎo)下進(jìn)行,以確保公司發(fā)展方向的正確性;(2)企業(yè)成長(zhǎng)戰(zhàn)略路徑的選擇要依據(jù)企業(yè)所處發(fā)展階段的內(nèi)外部環(huán)境及該階段的具體戰(zhàn)略目標(biāo);(3)并購(gòu)戰(zhàn)略是企業(yè)快速突破規(guī)模瓶頸與技術(shù)壁壘的有效成長(zhǎng)方式;(4)采用外延式并購(gòu)戰(zhàn)略,并購(gòu)標(biāo)的與并購(gòu)時(shí)機(jī)的選擇非常重要;(5)有效的并購(gòu)整合是并購(gòu)戰(zhàn)略成功的關(guān)鍵,而且整合必須貫穿于并購(gòu)的整個(gè)過(guò)程。最后,筆者根據(jù)該企業(yè)的發(fā)展現(xiàn)狀,探討了有利于企業(yè)持續(xù)穩(wěn)定成長(zhǎng)的若干建議。
[Abstract]:With the arrival of global economic integration, the business environment faced by enterprises is more complex and changeable. Because many enterprises do not have a quick response strategy, the development of enterprises is in a stagnant state, some even plummet and close down frequently. Therefore, how the enterprise can grow continuously has become an important subject in the process of our country's economic development. Through the research of Junsheng Group, this paper analyzes the growth course of the company by using the theoretical framework of enterprise growth strategy, analyzes the internal and external environment that enterprises are facing in different growth stages, and chooses to implement domestic M & A and overseas M & A in good time. Industrial M & A and Capital M & A. The enterprise seize the opportunity, take effective measures to integrate M & A, give full play to the strategic and synergistic effects of M & A, promote the transformation, upgrading and internationalization of the company's industry, and successfully land on the capital market, and realize the sustainable growth of the enterprise. Through the research on the growth strategy of Junsheng Group, we can draw the following conclusions: (1) the choice of enterprise growth strategy must be guided by clear overall strategic objectives. In order to ensure the correctness of the development direction of the company, (2) the choice of the growth strategy path should be based on the internal and external environment of the development stage and the specific strategic objectives of the stage; (3) the M & A strategy is the rapid breakthrough of the bottleneck of enterprise scale. The effective growth mode of technical barrier; (4) adopting the strategy of extension merger and acquisition, The choice of target and timing of M & A is very important. (5) effective integration is the key to the success of M & A strategy, and the integration must run through the whole process of M & A. Finally, according to the present situation of the enterprise, the author discusses some suggestions which are conducive to the sustainable and stable growth of the enterprise.
