【摘要】：隨著國家對節(jié)能環(huán)保政策的實(shí)施,有著多年燃?xì)庑袠I(yè)經(jīng)營經(jīng)驗(yàn)的RF公司正在迎來新的發(fā)展機(jī)遇和挑戰(zhàn)。隨著新加坡EQ投資公司的加入,RF公司的資金實(shí)力得到了加強(qiáng)。面對外資股東的上市要求和國內(nèi)燃?xì)馐袌龅募ち腋偁?RF公司試圖通過收購兼并的方式快速占領(lǐng)燃?xì)馐袌?而并購整合戰(zhàn)略關(guān)系到企業(yè)的長期發(fā)展和股東回報(bào)的問題。在我國燃?xì)庑袠I(yè),通過并購整合快速的實(shí)現(xiàn)企業(yè)擴(kuò)張已經(jīng)成為企業(yè)的必備資本運(yùn)作工具,通過并購整合來迅速的進(jìn)入?yún)^(qū)域燃?xì)馐袌?降低企業(yè)擴(kuò)張的壁壘和成本,提高企業(yè)的市場占有率,縮短企業(yè)投資建設(shè)審批的時(shí)間周期。本文以RF公司并購整合戰(zhàn)略作為主要的研究對象,采用了超額利潤的產(chǎn)業(yè)組織模型、資源基礎(chǔ)模型和五力模型,分析研究RF公司并購整合戰(zhàn)略以及并購整合的具體實(shí)施方案。文中首先介紹了戰(zhàn)略管理和企業(yè)并購的相關(guān)理論概念,并在此基礎(chǔ)上闡明了RF公司并購整合戰(zhàn)略的理論基礎(chǔ)和依據(jù)。其次利用企業(yè)戰(zhàn)略管理的基礎(chǔ)理論、基本模型和波特競爭五力模型對RF公司的企業(yè)內(nèi)部環(huán)境和企業(yè)外部環(huán)境進(jìn)行了深入的分析和闡述,找到RF公司內(nèi)外部資源優(yōu)勢和公司的核心競爭力。通過RF公司擁有的核心競爭力來制定快速擴(kuò)大城市燃?xì)馐袌稣加新实牟①徴蠎?zhàn)略,選擇能夠獲得超額利潤的并購整合戰(zhàn)略進(jìn)行實(shí)施。通過以上的分析和研究,為RF公司制定并購整合戰(zhàn)略指明了具體實(shí)施方案,同時(shí)也為其他企業(yè)在進(jìn)行并購整合之前提供了參考方法。本文在通過深入的市場調(diào)研后挖掘了城市燃?xì)庑袠I(yè)的細(xì)分市場,并在此基礎(chǔ)上為燃?xì)饨K端用戶提供了創(chuàng)新性的燃?xì)猱a(chǎn)品和服務(wù)。
[Abstract]:With the implementation of the national policy on energy conservation and environmental protection, RF Company, which has many years of experience in gas industry, is facing new opportunities and challenges. With the entry of Singapore EQ Investment Company, the capital strength of RF Company has been strengthened. The fierce competition in the domestic gas market has led RF to try to quickly capture the gas market by means of mergers and acquisitions. The strategy of M & A integration is related to the long-term development of enterprises and the return of shareholders. In China's gas industry, rapid expansion through M & A integration has become a necessary capital operation tool for enterprises. Through merger and acquisition integration to quickly enter the regional gas market, reduce the barriers and costs of enterprise expansion, increase the market share of enterprises, In this paper, RF M & A integration strategy is taken as the main research object, the industrial organization model of excess profit, resource base model and five force model are adopted. This paper analyzes and studies the integration strategy of RF company and the specific implementation plan of merger and acquisition integration. Firstly, this paper introduces the related theoretical concepts of strategic management and enterprise merger and acquisition. On this basis, the theoretical basis and basis of the merger and acquisition integration strategy of RF Company are expounded. Secondly, the basic theory of enterprise strategic management is used. The basic model and Porter's five-force competition model deeply analyze and expound the internal environment and external environment of RF Company. To find the internal and external resource advantages of RF Company and the core competitiveness of the company. Through the core competitiveness of RF Company to formulate the merger and integration strategy to rapidly expand the market share of urban gas. Through the above analysis and research, the author points out the concrete implementation plan for RF company to formulate M & A integration strategy. At the same time, it also provides a reference method for other enterprises before merger and acquisition integration. This paper excavates the subdivision market of urban gas industry through in-depth market research. On this basis, it provides innovative gas products and services for gas end-users.
