【摘要】：公司重組究其實(shí)質(zhì)就是按照市場(chǎng)的規(guī)律將公司原來的各類資源要素重新組合,使其能夠達(dá)到最大程度的優(yōu)化配置,提高公司的生產(chǎn)效率,從而實(shí)現(xiàn)公司的價(jià)值最大化。隨著中國(guó)社會(huì)主義經(jīng)濟(jì)體制不斷完善,企業(yè)參與市場(chǎng)競(jìng)爭(zhēng)與合作的自主性極大提高,越來越多的企業(yè)開始通過產(chǎn)權(quán)交易和資產(chǎn)重組來優(yōu)化組織結(jié)構(gòu)和資源配置。中石化集團(tuán)作為一家大型能源化工公司,自1998年分家,2000年開始正式涉足到資本市場(chǎng),其充分利用資本市場(chǎng)的資金運(yùn)作,靠強(qiáng)大的資金支持完成了上下游業(yè)務(wù)的拓展,增強(qiáng)了國(guó)際競(jìng)爭(zhēng)地位,其發(fā)展模式也逐步走向了多元化。本文首先回顧國(guó)內(nèi)外學(xué)者關(guān)于重組動(dòng)因與協(xié)同效應(yīng)經(jīng)典理論,有針對(duì)性對(duì)該理論體系進(jìn)行了整合,在此基礎(chǔ)上形成一個(gè)較為系統(tǒng)的運(yùn)用于研究企業(yè)重組動(dòng)因與協(xié)同效應(yīng)的理論分析框架。其次結(jié)合對(duì)該公司國(guó)內(nèi)外系列重組事件的梳理,重點(diǎn)選擇系列重組中具有代表性的案例進(jìn)行分析,運(yùn)用理論框架從新的視角定性分析企業(yè)實(shí)施重組前的戰(zhàn)略動(dòng)機(jī)以及協(xié)同價(jià)值。最后得出本文的結(jié)論與可供未來企業(yè)進(jìn)行重組實(shí)現(xiàn)協(xié)同價(jià)值的參考建議。本篇論文是站在重組企業(yè)的角度,從重組企業(yè)的發(fā)展戰(zhàn)略出發(fā),以實(shí)現(xiàn)協(xié)同效應(yīng)的視角分析中石化集團(tuán)系列重組事件,明確企業(yè)進(jìn)行重組的目的是根據(jù)可持續(xù)發(fā)展需求理性地選擇適合自己的重組模式與目標(biāo)企業(yè),在國(guó)際油品市場(chǎng)前景不樂觀的形勢(shì)下尋找到新的增長(zhǎng)點(diǎn),從主要靠加工制造創(chuàng)造價(jià)值轉(zhuǎn)向主要靠技術(shù)創(chuàng)新和服務(wù)增加價(jià)值,實(shí)現(xiàn)企業(yè)資源的最佳配置。同時(shí)也為我國(guó)其他石油企業(yè)未來制定重組戰(zhàn)略規(guī)劃提供了理論基礎(chǔ)和實(shí)踐支持。
[Abstract]:The essence of corporate reorganization is to recombine all kinds of resource elements according to the laws of the market, so that it can optimize the allocation to the greatest extent and improve the production efficiency of the company. With the continuous improvement of China's socialist economic system, the autonomy of enterprises to participate in market competition and cooperation has been greatly enhanced. More and more enterprises begin to optimize their organizational structure and resource allocation through property rights transactions and asset restructuring. As a large energy and chemical company, Sinopec has been officially involved in the capital market since 1998 and has been formally involved in the capital market since 2000. It has made full use of the capital market's capital operation, has completed the expansion of upstream and downstream businesses with strong financial support, and has strengthened its position in international competition. Firstly, this paper reviews the classical theories of restructuring motivation and synergetic effect at home and abroad, and integrates the theory system. On this basis, it forms a theoretical analysis framework which is systematically used to study the motivation and synergy of enterprise restructuring. Secondly, it combs the series of reorganization events at home and abroad. Focus on the selection of representative cases in the series of reorganization for analysis, This paper uses the theoretical framework to qualitatively analyze the strategic motivation and synergetic value of enterprises before implementing reorganization from a new perspective. Finally, the conclusions of this paper and some suggestions for future enterprises to realize synergistic value are drawn. From the perspective of restructuring enterprises, Starting from the development strategy of the reorganization enterprise, this paper analyzes the series of reorganization events of Sinopec Group from the perspective of realizing synergistic effect. It is clear that the purpose of enterprise reorganization is to rationally select the appropriate reorganization mode and target enterprise according to the demand of sustainable development, and to find a new growth point under the situation that the prospect of international oil market is not optimistic. From creating value mainly by processing and manufacturing to increasing value mainly by technological innovation and service, the best allocation of enterprise resources is realized, which also provides theoretical basis and practical support for other petroleum enterprises in our country to formulate strategic plan of reorganization in the future.
