【摘要】：創(chuàng)辦于晚清時期的江蘇大生紗廠始終是學(xué)界十分關(guān)注的研究對象。從現(xiàn)代企業(yè)理論的視角出發(fā),大生紗廠的早期企業(yè)制度特征似乎可以歸納為三:一是"非大股東"控制企業(yè)的早期產(chǎn)權(quán)制度特征;二是"非職業(yè)"經(jīng)理階層治理的企業(yè)治理結(jié)構(gòu)特征;三是"非盈余"支付"股息"的早期剩余分配制度特征。考察和解析這三大特征,不僅對于我們理解早期大生紗廠的企業(yè)形態(tài)和企業(yè)制度演變有著很大的幫助,而且對于討論和解讀中國近代企業(yè)制度的生成和起源都有著極為重要的理論意義。
[Abstract]:Jiangsu Dasheng Cotton Mill, which was founded in the late Qing Dynasty, has always been the research object of academic circles, from the perspective of modern enterprise theory. The characteristics of the early enterprise system of Dasheng Cotton Mill can be summed up into three parts: first, the early property rights system characteristics of the enterprises controlled by "non-large shareholders"; Second, the characteristics of corporate governance structure of "non-professional" managerial stratum governance; The third is the characteristics of the early surplus distribution system of "non-surplus" payment "dividend". The investigation and analysis of these three characteristics will not only help us understand the enterprise form and the evolution of the enterprise system in the early stage of Dasheng yarn mill. Moreover, it is of great theoretical significance to discuss and interpret the formation and origin of Chinese modern enterprise system.
