基于TOT模式的甘肅省高等級公路受讓方財(cái)務(wù)決策研究

【摘要】:甘肅省高等級公路的建設(shè)對于公路沿線地區(qū)的國土開發(fā),以及沿線各地區(qū)的商業(yè)、旅游業(yè)和服務(wù)業(yè)的快速發(fā)展,均起到了良好的推動作用;運(yùn)輸效率的提高也成功地降低了運(yùn)輸成本,對甘肅省內(nèi)重要物資的運(yùn)輸發(fā)揮了有效的促進(jìn)作用,因此,甘肅省政府一直大力推進(jìn)高等級公路的建設(shè),其建成量日益增加。與此同時,隨著高等級公路建成量的快速增長,使得公路項(xiàng)目中部分由政府墊資或已回收所有權(quán)的經(jīng)營性資產(chǎn)出現(xiàn)閑置狀況,未能得到充分利用;而且由于甘肅省高等級公路受地域、氣候、經(jīng)濟(jì)等條件的限制,也使得巨額的建設(shè)資金得不到籌集,這些問題已成為甘肅省高等級公路發(fā)展的主要障礙。TOT(Transfer-Operate-Transfer)模式,是在BOT模式以后產(chǎn)生的一種新穎的經(jīng)營性政府工程投融資模式。在TOT模式的運(yùn)作中,由于涉及的相關(guān)方多,從而影響項(xiàng)目特許經(jīng)營期內(nèi)成本和效益的因素繁多,這些因素都可能導(dǎo)致項(xiàng)目的財(cái)務(wù)決策出現(xiàn)較大偏差。然而,作為接手項(xiàng)目的受讓方又正是通過項(xiàng)目運(yùn)營來獲取利潤的,因此考察并且決策項(xiàng)目是否值得投資以及在協(xié)議簽訂過程中如何與政府洽談達(dá)到自身利益最大化等問題,通常是受讓方關(guān)注的重點(diǎn),也是本文的研究重點(diǎn)。本文首先針對甘肅省高等級公路建設(shè)資金缺口大的問題,結(jié)合其建設(shè)特點(diǎn)及發(fā)展規(guī)劃,對比研究了幾種常用的融資模式,對TOT模式在甘肅省高等級公路中的適用性進(jìn)行了研究;然后針對TOT模式下受讓方財(cái)務(wù)分析影響因素多的問題,利用相關(guān)理論對受讓方的財(cái)務(wù)決策進(jìn)行研究,主要是通過研究政府、項(xiàng)目公司、項(xiàng)目使用方和環(huán)境條件對受讓方財(cái)務(wù)決策的影響因素,構(gòu)成受讓方財(cái)務(wù)決策影響因子結(jié)構(gòu)圖和影響因素體系表;最后,基于一般新建公路項(xiàng)目的財(cái)務(wù)流程,運(yùn)用定性決策和定量決策相結(jié)合的方法,構(gòu)建了適用于TOT高等級公路項(xiàng)目的財(cái)務(wù)決策模型,并據(jù)此對擬轉(zhuǎn)讓的甘肅省某高等級公路項(xiàng)目進(jìn)行了受讓方財(cái)務(wù)決策的實(shí)例分析。本研究既為受讓方?jīng)Q策接手?jǐn)M轉(zhuǎn)讓項(xiàng)目提供了相對可靠的依據(jù),避免因盲目決策而導(dǎo)致虧損,也為推進(jìn)新型TOT模式在甘肅省的廣泛運(yùn)用提供一定的理論參考。
[Abstract]:The construction of high grade highway in Gansu Province has played a good role in promoting the land development along the highway, as well as the rapid development of commerce, tourism and service industry along the highway. The improvement of transportation efficiency has also successfully reduced the transportation cost and played an effective role in promoting the transportation of important materials in Gansu Province. Therefore, the Gansu Provincial Government has been vigorously promoting the construction of high-grade highways. At the same time, with the rapid growth of high grade highway construction, some of the operating assets funded by the government or recovered ownership have been idle, and have not been fully utilized; Moreover, due to the restrictions of the region, climate, economy and other conditions on high grade highways in Gansu Province, huge amounts of construction funds cannot be raised. These problems have become the main obstacles to the development of high grade highways in Gansu Province. It is a new mode of investment and financing of government project after BOT mode. In the operation of TOT mode, there are many factors that affect the cost and benefit of the project during the franchise period due to the large number of related parties involved. All of these factors may lead to a large deviation in the financial decisions of the project. However, as the transferee who takes over the project, it is through the operation of the project that the profit is obtained. Therefore, examining and making decisions on whether the project is worth investing and how to negotiate with the government to maximize their own interests in the process of signing the agreement is usually the focus of attention of the transferee. It is also the focal point of this paper. Firstly, aiming at the problem of large fund gap in Gansu Province's high-grade highway construction, combined with its construction characteristics and development plan, this paper contrasts and studies several common financing modes. The applicability of TOT model in high grade highway in Gansu province is studied, and then the financial decision of the transferee is studied by using relevant theories in view of the problem that there are many influencing factors in the financial analysis of the transferee under the TOT mode. Mainly through the study of the government, project company, project users and environmental conditions on the financial decision of the recipient, constitute the transfer party financial decision impact factor chart and impact factor system table; finally, Based on the financial process of general new highway project, the financial decision model suitable for TOT high grade highway project is constructed by using the method of combining qualitative decision and quantitative decision. Based on this, the financial decision of a high grade highway project in Gansu Province is analyzed. This study not only provides a relatively reliable basis for the transferee to take over the project to be transferred, but also avoids the loss caused by blind decision. It also provides a theoretical reference for promoting the wide application of the new TOT model in Gansu Province.
