【摘要】：本文梳理了國(guó)企并購(gòu)重組的趨勢(shì)、常見(jiàn)模式和挑戰(zhàn),并提出了政策建議。國(guó)有企業(yè)并購(gòu)重組是當(dāng)前國(guó)企改革的重點(diǎn),國(guó)企通過(guò)并購(gòu)重組做大做強(qiáng)已經(jīng)成為時(shí)代趨勢(shì)。大企業(yè)成長(zhǎng)離不開(kāi)外延式擴(kuò)展,并購(gòu)重組是國(guó)有企業(yè)跨越式發(fā)展的必經(jīng)之路,也是世界企業(yè)發(fā)展的主流手段。做大做強(qiáng)國(guó)有企業(yè)才能面對(duì)國(guó)際競(jìng)爭(zhēng),提高中國(guó)企業(yè)在關(guān)鍵行業(yè)的話語(yǔ)權(quán)和定價(jià)權(quán)。實(shí)踐中,需要防范國(guó)企盲目并購(gòu)、盲目多元化和惡性競(jìng)爭(zhēng)的問(wèn)題,著力建立健全風(fēng)險(xiǎn)防控機(jī)制和國(guó)資監(jiān)督管理機(jī)制。
[Abstract]:This paper combs the trend, common models and challenges of mergers and acquisitions of state-owned enterprises, and puts forward some policy suggestions. The merger and reorganization of state-owned enterprises is the focus of the current reform of state-owned enterprises, and it has become the trend of the times for state-owned enterprises to become bigger and stronger through mergers and acquisitions. The growth of large enterprises can not be separated from the extension expansion. M & A is the only way for the leaping development of state-owned enterprises, and it is also the mainstream means of the development of enterprises in the world. Only by strengthening state-owned enterprises can we face international competition and improve the voice and pricing power of Chinese enterprises in key industries. In practice, it is necessary to prevent the blind merger and acquisition of state-owned enterprises, blind diversification and vicious competition, and strive to establish and improve the risk prevention and control mechanism and the supervision and management mechanism of state-owned assets.
