【摘要】：在企業(yè)治理機(jī)制中,董事會向上對公司股東會負(fù)責(zé),向下監(jiān)督公司經(jīng)理層的工作,處在承上啟下的核心樞紐環(huán)節(jié)之中,其職能的實現(xiàn),直接關(guān)系到企業(yè)的持續(xù)經(jīng)營和發(fā)展。當(dāng)前,我國國有企業(yè)的改革以公司制改革為主要方向,董事會制度是否健全,就成為了國有企業(yè)良性經(jīng)營和持續(xù)發(fā)展的關(guān)鍵。而董事會制度的完善和有效實施,必定需要與其相對應(yīng)的法律體系作為后盾保障。論文以國有企業(yè)董事會制度為內(nèi)容核心,以經(jīng)濟(jì)和法律為視角,以基本概念解析—現(xiàn)狀問題分析—國外發(fā)展?fàn)顩r與啟示—制度完善法律建議為邏輯線索,逐步展開書寫。論文中對國有企業(yè)及其董事會制度進(jìn)行了簡要概述。首先,對國有企業(yè)進(jìn)行了概念界定,對國有企業(yè)在實踐中的延伸進(jìn)行了認(rèn)定,明確了本文針對研究的國有企業(yè)的范圍,隨后對其中最為關(guān)鍵的國有資產(chǎn)經(jīng)營公司進(jìn)行了詳細(xì)論述。其次,對國有企業(yè)董事會制度進(jìn)行了解析,闡述了國有企業(yè)董事會制度的必要性和本質(zhì)特點(diǎn);論文從經(jīng)濟(jì)和法律的視角,對我國國有企業(yè)董事會制度發(fā)展現(xiàn)狀進(jìn)行描述,以嶄新的角度從管理、監(jiān)督和責(zé)任追究三方面提出國有企業(yè)董事會制度在發(fā)展中所存在的問題;論文分別對美、德、新加坡三國的國有企業(yè)董事會制度發(fā)展現(xiàn)狀進(jìn)行了概述,然后將三者相互對比,得出其各自的特點(diǎn)及優(yōu)缺點(diǎn),并從中尋找完善我國國有企業(yè)董事會制度的啟示;論文通過上文論述內(nèi)容,從管理、監(jiān)督和責(zé)任追究三方面,提出了完善我國國有企業(yè)董事會制度的若干法律和實踐建議。其中,創(chuàng)新提出建立國有企業(yè)信息公開平臺,加強(qiáng)對國有企業(yè)的外部監(jiān)督,加速健全國有企業(yè)董事會制度。
[Abstract]:In the corporate governance mechanism, the board of directors is responsible to the shareholders' meeting up and down to supervise the work of the company's manager layer. The realization of its functions is directly related to the sustainable operation and development of the enterprise, which is in the key link linking the above with the next, and the realization of its functions is directly related to the sustainable operation and development of enterprises. At present, the reform of state-owned enterprises in our country takes the reform of company system as the main direction. Whether the board of directors system is perfect or not has become the key to the healthy operation and sustainable development of state-owned enterprises. The perfection and effective implementation of the board of directors system must be supported by the corresponding legal system. Taking the system of the board of directors of state-owned enterprises as the core of contents, from the perspective of economy and law, the thesis begins to write gradually with the analysis of the basic concept-the analysis of the present situation-the development and enlightenment of foreign countries-the legal suggestion of perfecting the system as the logical clue. The paper gives a brief overview of the state-owned enterprises and their board of directors system. First of all, it defines the concept of state-owned enterprises, identifies the extension of state-owned enterprises in practice, and clarifies the scope of the state-owned enterprises studied in this paper. Then the most key state-owned asset management companies are discussed in detail. Secondly, the system of board of directors of state-owned enterprises is analyzed, and the necessity and essential characteristics of the system of board of directors of state-owned enterprises are expounded. From the perspective of economy and law, this paper describes the current situation of the development of the board system of the state-owned enterprises in China, and puts forward the problems existing in the development of the board system of the state-owned enterprises from the aspects of management, supervision and accountability from a brand-new angle. The paper summarizes the current situation of the state-owned enterprise board system development in the United States, Germany and Singapore, and then compares them with each other, and obtains their respective characteristics, advantages and disadvantages. And look for the inspiration of perfecting the board system of the state-owned enterprises in our country; Through the discussion above, this paper puts forward some legal and practical suggestions to perfect the board system of state-owned enterprises in China from three aspects: management, supervision and accountability. Among them, innovation put forward to establish a platform for information disclosure of state-owned enterprises, strengthen external supervision of state-owned enterprises, and speed up the improvement of the board system of state-owned enterprises.
