【摘要】：混合所有制改革的實質(zhì)是要打破國有企業(yè)與私營企業(yè)之間存在的體制障礙,加強國有企業(yè)與私營企業(yè)之間的相互融合。那么,那些具有跨體制(即跨越國有企業(yè)和私營企業(yè)兩種體制障礙)聯(lián)結關系的國有企業(yè)高管,是否會有助于推進混合所有制改革呢?鑒于"國有企業(yè)向私營企業(yè)轉(zhuǎn)讓股權"是國有企業(yè)混合所有制改革的一條重要改革途徑,因此本文基于國有上市公司的股權轉(zhuǎn)讓數(shù)據(jù)考察國有企業(yè)高管跨體制聯(lián)結對國有企業(yè)向私營企業(yè)轉(zhuǎn)讓股權的影響,研究發(fā)現(xiàn):與國有企業(yè)高管沒有跨體制聯(lián)結關系的情況相比,當國有企業(yè)高管擁有跨體制聯(lián)結關系時,國有企業(yè)向私營企業(yè)轉(zhuǎn)讓股權的可能性較大;當跨體制聯(lián)結關系是由內(nèi)部董事形成,對于發(fā)生在管制性行業(yè)和不影響公司控制權變更的股權轉(zhuǎn)讓,高管跨體制聯(lián)結對國有企業(yè)向私營企業(yè)轉(zhuǎn)讓股權的正向影響越強。本文進一步研究發(fā)現(xiàn),國有企業(yè)高管跨體制聯(lián)結主要通過傳遞交易信息和環(huán)境信息、緩解意識形態(tài)障礙等機制影響國有股權向私營企業(yè)轉(zhuǎn)讓。這些發(fā)現(xiàn)意味著,搭建國有企業(yè)高管與私營企業(yè)高管之間聯(lián)系的橋梁和紐帶,創(chuàng)造國有股權轉(zhuǎn)讓的公平交易環(huán)境,對助推國有企業(yè)混合所有制改革有重要意義。
[Abstract]:The essence of the reform of mixed ownership is to break the institutional barriers between state-owned enterprises and private enterprises and to strengthen the mutual integration between state-owned enterprises and private enterprises. So will those state executives who have cross-institutional ties-i.e., cross the institutional barriers of state-owned and private enterprises-help push forward mixed ownership reforms? In view of the fact that "the transfer of shares from state-owned enterprises to private enterprises" is an important way to reform the mixed ownership system of state-owned enterprises, Therefore, based on the stock transfer data of the state-owned listed companies, this paper investigates the influence of the cross-system connection of the executives of state-owned enterprises on the transfer of equity from state-owned enterprises to private enterprises, and finds that: compared with the situation that the senior executives of state-owned enterprises do not have cross-institutional linkages, When the senior executives of state-owned enterprises have cross-institutional connections, it is more likely that state-owned enterprises can transfer their equity to private enterprises. When the cross-institutional linkage is formed by the internal directors, for the transfer of equity which occurs in the regulatory industry and does not affect the change of the control rights of the company, the stronger the positive influence of the cross-institutional linkage of the executive on the transfer of the equity to the private enterprise is. This paper further finds that the mechanism of the cross-system connection of the senior executives of state-owned enterprises mainly affects the transfer of state-owned shares to private enterprises through the transmission of transaction information and environmental information and the easing of ideological barriers and other mechanisms. These findings suggest that it is of great significance to build bridges and ties between senior executives of state-owned enterprises and executives of private enterprises and to create a fair trading environment for the transfer of state-owned shares, which is of great significance to the reform of mixed ownership of state-owned enterprises.
