【摘要】:美國著名經(jīng)濟(jì)學(xué)家斯蒂格勒在《通向壟斷和寡占之路一兼并》中提出為成長(zhǎng)為大型企業(yè),現(xiàn)代經(jīng)濟(jì)史上一個(gè)突出現(xiàn)象是企業(yè)通過兼并競(jìng)爭(zhēng)對(duì)手的方式實(shí)現(xiàn);在美國,沒有依靠企業(yè)內(nèi)部擴(kuò)張起來的企業(yè),所有大公司都是通過兼并收購的方式成長(zhǎng)起來的。自2004年,中央一號(hào)文件連續(xù)14年以服務(wù)農(nóng)業(yè)為出發(fā)點(diǎn)。黨中央、國務(wù)院以及各部委也不斷出臺(tái)相關(guān)政策用于支持農(nóng)業(yè)發(fā)展。我國經(jīng)濟(jì)貿(mào)易體系像一座高樓,供銷系統(tǒng)企業(yè)就是高樓最重要最牢靠的地基,它立基在農(nóng)村,與“三農(nóng)”聯(lián)系十分緊密,供銷系統(tǒng)企業(yè)像橋梁聯(lián)結(jié)著黨和政府與農(nóng)民,推動(dòng)著我國農(nóng)村經(jīng)濟(jì)的發(fā)展。本文著重對(duì)我國供銷系統(tǒng)企業(yè)在現(xiàn)階段改革中并購重組問題進(jìn)行研究,尋找一條適合供銷合作社體制下的改革模式,從而帶動(dòng)供銷系統(tǒng)企業(yè)生產(chǎn)經(jīng)營(yíng)結(jié)構(gòu)的調(diào)整,使企業(yè)經(jīng)營(yíng)管理得到改變,達(dá)到生產(chǎn)要素的優(yōu)化組合,使供銷合作社保持健康可持續(xù)的發(fā)展。本文作者在供銷系統(tǒng)企業(yè)工作,對(duì)供銷系統(tǒng)企業(yè)并購重組進(jìn)行了深入研究。分析了供銷系統(tǒng)企業(yè)的特點(diǎn)、并購重組的特點(diǎn),闡述了供銷系統(tǒng)企業(yè)并購的動(dòng)因及必要性、分析了供銷系統(tǒng)企業(yè)存在的問題及原因,結(jié)合所在企業(yè)并購重組案例分析,提出了推進(jìn)供銷系統(tǒng)企業(yè)并購重組的對(duì)策建議,為我國供銷系統(tǒng)企業(yè)改革與發(fā)展提供了新思路。
[Abstract]:Stiegler, a famous American economist, proposed to grow into a large enterprise in a merger to the road to monopoly and oligopoly. In the modern economic history, a prominent phenomenon is that the enterprise realized through the merger of competitors; in the United States, there is no enterprise expanding within the enterprise, and all the big companies are through mergers and acquisitions. Since 2004, the Central Committee of the Central Committee, the State Council and the ministries and commissions have also continuously promulgated relevant policies to support agricultural development for 14 consecutive years. The economic and trade system in China is like a tall building, and the supply and marketing enterprise is the most important and most reliable foundation of the high building. It is based in the countryside and "three" Agriculture is closely linked, and the supply and marketing enterprises are linked with the party and the government and the peasants to promote the development of the rural economy in China. This paper focuses on the study of the merger and reorganization of the supply and marketing enterprises in the current stage of reform in China, and seeks a reform model suitable for the supply and marketing cooperative system, thus driving the supply and marketing enterprise. The adjustment of the production and operation structure makes the enterprise management and management change, achieve the optimal combination of production factors, and keep the supply and marketing cooperatives healthy and sustainable. The author of this article has studied the merger and acquisition and reorganization of the supply and marketing enterprises in the supply and marketing system, and analyzed the characteristics of the supply and marketing enterprise and the characteristics of the merger and acquisition and reorganization. This paper expounds the motivation and necessity of the merger and acquisition in the supply and marketing system, analyzes the problems and causes of the enterprises in the supply and marketing system, and combines with the case analysis of the enterprise merger and acquisition and reorganization, and puts forward the countermeasures and suggestions to promote the merger and reorganization of the supply and marketing enterprises, and provides a new way of thinking for the reform and development of the supply and marketing enterprises in China.
