【摘要】：基于公司治理理論,以20072014年中國(guó)非金融類上市公司為樣本,從理論與實(shí)證角度分析了管理層持股對(duì)公司訴訟風(fēng)險(xiǎn)的影響。研究結(jié)果表明:(1)管理層持股比例越高,公司涉訴的可能性越低,涉訴的頻度和嚴(yán)重性越低;(2)所有權(quán)性質(zhì)對(duì)管理層持股與公司訴訟風(fēng)險(xiǎn)的關(guān)系起到調(diào)節(jié)作用,相對(duì)國(guó)有控股上市公司而言,民營(yíng)控股上市公司管理層持股比例越高,公司訴訟風(fēng)險(xiǎn)越低。研究結(jié)論在我國(guó)上市公司推進(jìn)股權(quán)激勵(lì)計(jì)劃的背景下有現(xiàn)實(shí)意義,為民營(yíng)企業(yè)實(shí)施管理層股權(quán)激勵(lì)機(jī)制,促進(jìn)管理層與股東利益趨于一致,降低公司訴訟風(fēng)險(xiǎn)提供了經(jīng)驗(yàn)證據(jù)。
[Abstract]:Based on the theory of corporate governance, this paper analyzes the influence of managerial shareholding on corporate litigation risk from the perspective of theory and demonstration, taking China's non-financial listed companies as a sample in 2007 and 2014. The results show that the higher the proportion of managerial ownership, the lower the possibility of litigation, and the lower the frequency and severity of litigation.) the nature of ownership has a moderating effect on the relationship between managerial shareholding and corporate litigation risk. Compared with the state-owned listed companies, the higher the proportion of management ownership, the lower the litigation risk. The conclusion is of practical significance under the background of promoting the equity incentive plan of listed companies in our country. It provides empirical evidence for private enterprises to implement management equity incentive mechanism, promote the interests of management and shareholders tend to converge, and reduce the risk of corporate litigation.
