【摘要】：隨著全球第五次跨國并購浪潮的推進,我國企業(yè)為拓展國際市場,提高綜合實力,跨國并購步伐逐漸加快,其中民營企業(yè)憑借自身實力的不斷積聚,參與跨國并購積極性穩(wěn)步提高,逐漸成為我國企業(yè)跨國并購的主體。然而,通過觀察以往民營企業(yè)跨國并購案例可知,我國民營企業(yè)跨國并購還存在很多問題亟待解決,這些問題影響企業(yè)績效的提高和我國經(jīng)濟的發(fā)展。因此,本文跟蹤分析我國民營企業(yè)跨國并購問題具有重要的現(xiàn)實意義。本文在國內(nèi)外研究基礎上,采用文獻分析法、定性和定量分析相結(jié)合的方法系統(tǒng)針對我國民營企業(yè)跨國并購動因、效果、影響因素、存在問題等進行分析研究。主要研究內(nèi)容包括:一是分析梳理我國民營企業(yè)跨國并購的動因,并通過收集大量數(shù)據(jù)系統(tǒng)分析了我國民營企業(yè)跨國并購發(fā)展現(xiàn)狀。二是采用經(jīng)濟增加值法(EVA)驗證我國民營企業(yè)跨國并購績效,結(jié)果顯示短期內(nèi)我國民營企業(yè)跨國并購績效不理想。同時,利用最小二乘法進行多元線性回歸,分析影響我國民營企業(yè)跨國并購績效的因素,得出東道國管制、文化差異和企業(yè)自身盈利能力對我國民營企業(yè)跨國并購的影響較為顯著的結(jié)論。三是在上述分析的基礎上總結(jié)提出我國民營跨國并購目前主要存在法律風險、融資困難、文化沖突、并購盲目、人才匱乏等現(xiàn)實問題。四是針對這些問題提出具體的對策建議,以供民營企業(yè)跨國并購參考。本文針對民營企業(yè)跨國并購問題進行系統(tǒng)化研究,有助于推進我國企業(yè)健康發(fā)展和民營經(jīng)濟繁榮,豐富我國民營企業(yè)跨國并購的實證分析。
[Abstract]:With the promotion of the fifth wave of cross-border M & A in the world, in order to expand the international market and improve the comprehensive strength, the pace of cross-border M & A has been gradually accelerated, among which the private enterprises have been accumulating with their own strength.The enthusiasm of participating in transnational M & A has been improved steadily and gradually become the main body of transnational M & A of Chinese enterprises.However, by observing the past cases of transnational mergers and acquisitions of private enterprises, we can see that there are still many problems to be solved in cross-border mergers and acquisitions of private enterprises in China, which affect the improvement of enterprise performance and the development of our economy.Therefore, it is of great practical significance to trace and analyze the transnational M & A of private enterprises in China.Based on the research at home and abroad, this paper uses the method of literature analysis, qualitative analysis and quantitative analysis to analyze and study the causes, effects, influencing factors and existing problems of transnational mergers and acquisitions of private enterprises in China.The main research contents are as follows: first, it analyzes the causes of transnational M & A of private enterprises in China, and analyzes the development status of cross-border M & A of private enterprises in China by collecting a large number of data.The second is to verify the performance of transnational mergers and acquisitions of private enterprises in China by using the method of economic added value (EVA). The results show that the performance of cross-border mergers and acquisitions of private enterprises in China is not ideal in the short term.At the same time, using the least square method to carry on the multivariate linear regression, analyze the factors that affect the performance of transnational mergers and acquisitions of the private enterprises in our country, and draw the conclusion that the host country controls,The conclusion that the cultural differences and the profitability of the enterprises have a significant impact on the transnational M & A of private enterprises in China.Thirdly, on the basis of the above analysis, the author summarizes and points out that there are some practical problems such as legal risk, financing difficulty, cultural conflict, blind merger and acquisition, lack of talents and so on.Fourth, to counter these problems and put forward specific countermeasures for private enterprises to cross-border M & A reference.This paper makes a systematic study on transnational M & A of private enterprises, which is helpful to promote the healthy development of Chinese enterprises and the prosperity of private economy, and enrich the empirical analysis of transnational M & A of private enterprises in China.
