【摘要】：在證券監(jiān)管法制度的功能中,證券監(jiān)督管理機(jī)構(gòu)發(fā)揮著龍頭的作用,對(duì)它的制度安排是各國(guó)證券法的重中之重。通過(guò)對(duì)典型國(guó)家和地區(qū)相關(guān)制度的考察,可以看出證券監(jiān)管機(jī)構(gòu)行使的證券監(jiān)管權(quán)與政府監(jiān)管權(quán)一脈相承,在復(fù)雜市場(chǎng)經(jīng)濟(jì)運(yùn)行的條件下,市場(chǎng)需要具有相對(duì)獨(dú)立性的政府監(jiān)管權(quán)具體作用于市場(chǎng)主體,這一特點(diǎn)在證券市場(chǎng)體現(xiàn)得尤為突出。然而,我國(guó)在證券監(jiān)管機(jī)構(gòu)制度的安排上有著先天的不足,證券最高監(jiān)管機(jī)構(gòu)"中國(guó)證監(jiān)會(huì)"并非法定(指國(guó)家基本法),而是通過(guò)國(guó)務(wù)院的"三定方案"將其定性為正部級(jí)事業(yè)單位,不僅法律地位不獨(dú)立,而且擔(dān)負(fù)了太多的國(guó)家政治職能,致使其角色尷尬。因此,對(duì)中國(guó)證券監(jiān)管機(jī)構(gòu)的法律變革勢(shì)在必行。"中國(guó)證監(jiān)會(huì)"法定化,即將其直接納入
[Abstract]:In the function of securities regulatory law, the securities regulatory agency plays a leading role, and its institutional arrangement is the most important part of the securities laws of various countries. Through the investigation of the relevant systems of typical countries and regions, we can see that the securities supervision power exercised by the securities regulatory agencies is in the same line with the government supervision right, and under the condition of the complex market economy, The market needs a relatively independent government regulatory power to act on the main body of the market, which is particularly prominent in the securities market. However, China has some inherent deficiencies in the arrangement of securities regulatory institutions. China Securities Regulatory Commission (CSRC), the supreme regulatory body for securities, is not a statutory (refers to the basic Law of the State Council), but it is characterized as a full-ministerial institution through the State Council's "Three-Determination Plan", which is not only not independent of its legal status, And it takes on too many political functions of the state, making its role awkward.
