【摘要】：JH空壓機(jī)集團(tuán)公司作為行業(yè)的領(lǐng)軍企業(yè),始終致力于空壓機(jī)高端系列產(chǎn)品的研發(fā)與生產(chǎn)。雖然公司取得了一定的成績,但在未來的競爭與發(fā)展中會遇到資金、人才及制度等方面的問題。這些問題必將會影響企業(yè)的競爭力和企業(yè)的生存與發(fā)展,因此有必要對JH集團(tuán)公司發(fā)展過程中存在的問題進(jìn)行專項診斷,指出其問題所在,提出公司發(fā)展策略。通過對JH集團(tuán)公司上市的動因與效應(yīng)、財務(wù)狀況以及風(fēng)險等方面的分析,設(shè)計JH集團(tuán)公司整體上市規(guī)劃,包括上市方式采取直接上市方式；上市地點(diǎn)選擇在國內(nèi)上市；上市板塊重點(diǎn)考慮先期在國內(nèi)新三板掛牌,待條件成熟后,在轉(zhuǎn)板到主板或創(chuàng)業(yè)板上市。并提出企業(yè)整體上市的操作建議,即密切關(guān)注政策層面調(diào)整變化；細(xì)致準(zhǔn)備上市前期并購重組工作；切實把握證監(jiān)會審核要點(diǎn)等,希望對中國民營企業(yè)的資本運(yùn)作思路及模式選擇起到一定的借鑒意義。
[Abstract]:As an industry leader, JH Air Compressor Group is always committed to the R & D and production of high-end series of air compressors.Although the company has made some achievements, but in the future competition and development will encounter problems in capital, talent and system.These problems will inevitably affect the competitiveness of enterprises and the survival and development of enterprises, so it is necessary to make a special diagnosis of the problems existing in the development process of JH Group, point out their problems, and put forward the development strategy of the company.Based on the analysis of the reasons and effects, financial situation and risk of JH group company listing, this paper designs the overall listing plan of JH group company, including the direct listing mode, the place of listing, the choice of domestic listing, and so on.Listing plate focus on the consideration of the domestic new three-board listing, after the conditions mature, in the main board or gem listing.And put forward the operation suggestion of the whole listing of the enterprise, that is, pay close attention to the adjustment and change of the policy level, prepare the pre-listing merger and reorganization work carefully, grasp the key points of the examination and approval of the CSRC, etc.It is hoped that it will be helpful to the capital operation and mode selection of private enterprises in China.
