【摘要】：本文以上海第一財(cái)經(jīng)傳媒有限公司與恒生電子股份有限公司的并購(gòu)活動(dòng)為案例背景，有針對(duì)性地對(duì)企業(yè)并購(gòu)的動(dòng)因、企業(yè)并購(gòu)需要考慮的因素、投行參與并購(gòu)業(yè)務(wù)的必要性分析、投行在并購(gòu)業(yè)務(wù)中的具體職能、投行參與企業(yè)間并購(gòu)業(yè)務(wù)的情況進(jìn)行闡述，并對(duì)案例中投行的介入對(duì)于并購(gòu)方案的影響進(jìn)行實(shí)務(wù)分析。投資銀行家利用自身的金融專長(zhǎng)和對(duì)投資領(lǐng)域的熟悉，在并購(gòu)活動(dòng)中為企業(yè)提供發(fā)展戰(zhàn)略建議、分享關(guān)鍵需求信息、提供并購(gòu)方案設(shè)計(jì)、充當(dāng)并購(gòu)戰(zhàn)略和戰(zhàn)術(shù)顧問(wèn)。企業(yè)應(yīng)充分重視投行對(duì)于并購(gòu)活動(dòng)的參與作用，為此在并購(gòu)活動(dòng)中更好的獲得主動(dòng)權(quán)，贏得勝算籌碼。
[Abstract]:Based on the M & A activities of Shanghai first Financial Media Co., Ltd and Hang Seng Electronics Co., Ltd., this paper aims at the motivation of M & A and the factors to be considered in M & A. The necessity of investment banks to participate in M & A business, the specific functions of investment banks in M & A business, and the situation of investment banks participating in M & A business among enterprises are expounded. The investment bankers make use of their financial expertise and familiarity with the investment field to provide development strategy advice and share the information of key needs in the M & A activities. Enterprises should pay more attention to the role of investment banks in the M & A activities so as to gain the initiative and win the bargaining chips in the M & A activities.
