【摘要】:論文首先從江西核工業(yè)建設(shè)有限公司目前情況出發(fā),闡述了本課題的研究背景、研究目的與意義,論述了本文的研究內(nèi)容、研究方法,并對論文的研究思路進(jìn)行了說明。然后對資產(chǎn)重組相關(guān)理論進(jìn)行了分析,分別從資產(chǎn)重組動(dòng)因理論(規(guī)模經(jīng)濟(jì)、交易成本等)、資產(chǎn)重組價(jià)值創(chuàng)造理論和資產(chǎn)重組績效理論等方面綜述了國外研究現(xiàn)狀,并從資產(chǎn)重組理論研究與實(shí)證研究方面歸納了國內(nèi)研究現(xiàn)狀。接著說明了江西核工業(yè)建設(shè)與江西中煤建設(shè)集團(tuán)兩家公司的基本情況,闡明了重組的可行性與必要性。在此基礎(chǔ)上,論述了江西核工業(yè)建設(shè)有限公司資產(chǎn)重組設(shè)計(jì)原則、步驟及法律依據(jù);股權(quán)劃轉(zhuǎn)和增資擴(kuò)股路徑等。接著從公司治理結(jié)構(gòu)、組織結(jié)構(gòu)、員工薪酬與激勵(lì)、人力資源、經(jīng)營模式、文化融合及歷史遺留問題等方面說明了其整合過程。從成立專門的資產(chǎn)重組組織機(jī)構(gòu)、重組后人員的妥善安置、聘請專業(yè)的社會(huì)中介機(jī)構(gòu)、政府相關(guān)部門對重組的支持、協(xié)調(diào)各方面的利益關(guān)系、發(fā)揮企業(yè)黨政工團(tuán)的宣傳作用等方面提出了重組的保障措施。論文最后對江西核工業(yè)建設(shè)有限公司資產(chǎn)重組進(jìn)行經(jīng)濟(jì)效益評(píng)估與風(fēng)險(xiǎn)分析,,并對該案例給我們提供的經(jīng)驗(yàn)與啟示及進(jìn)一步要研究的問題進(jìn)行了說明。
[Abstract]:Firstly, from the current situation of Jiangxi Nuclear Industry Construction Co., Ltd, this paper expounds the research background, purpose and significance of this topic, discusses the research content and research methods of this paper. Then the paper analyzes the theory of asset restructuring motivation (economies of scale, transaction costs, etc.). The theory of asset restructuring value creation and the theory of asset restructuring performance are reviewed in this paper. And from the asset restructuring theoretical research and empirical research summarized the status quo of domestic research, and then explained the basic situation of Jiangxi nuclear industry construction and Jiangxi coal construction group two companies. This paper expounds the feasibility and necessity of reorganization. On this basis, it discusses the design principles, steps and legal basis of assets reorganization of Jiangxi Nuclear Industry Construction Co., Ltd. Then from the corporate governance structure, organizational structure, employee compensation and incentive, human resources, business model. The integration process is explained from the aspects of cultural integration and historical problems, including the establishment of special assets reorganization organization, the proper placement of personnel after the reorganization, and the employment of professional social intermediary organizations. The relevant government departments support the reorganization and coordinate the interests of all parties. The paper puts forward the safeguard measures of reorganization in the aspects of giving full play to the propaganda role of the party and government working groups of enterprises. Finally, the paper evaluates the economic benefits and analyzes the risks of the assets reorganization of Jiangxi Nuclear Industry Construction Co., Ltd. The experience and enlightenment provided by this case and the problems to be further studied are also explained.
