【摘要】：內(nèi)部控制作為企業(yè)各項(xiàng)管理工作的基礎(chǔ),是衡量現(xiàn)代企業(yè)管理水平的重要標(biāo)志,也是企業(yè)持續(xù)健康發(fā)展的可靠保證。我國(guó)民營(yíng)企業(yè)的平均壽命不足6年,95%以上的公司治理失敗都是與內(nèi)部控制缺乏或失效有關(guān)。以案例企業(yè)L公司的內(nèi)部控制問(wèn)題作為研究對(duì)象,對(duì)民營(yíng)企業(yè)上市前、后內(nèi)部控制目標(biāo)、內(nèi)部控制缺陷等進(jìn)行案例描述。對(duì)案例進(jìn)行深入分析表明民營(yíng)企業(yè)上市前、后內(nèi)部控制目標(biāo)存在差異；內(nèi)部控制缺陷是制約民營(yíng)企業(yè)首發(fā)上市的主要障礙；政府及監(jiān)管機(jī)構(gòu)對(duì)民營(yíng)企業(yè)內(nèi)部控制建設(shè)起到促進(jìn)作用。最后,以《企業(yè)內(nèi)部控制基本規(guī)范》為指導(dǎo),對(duì)案例企業(yè)所涉及相關(guān)問(wèn)題提出改善內(nèi)部控制環(huán)境、增強(qiáng)風(fēng)險(xiǎn)意識(shí),建立完善的風(fēng)險(xiǎn)評(píng)估體系、完善和加強(qiáng)控制活動(dòng)、暢通信息交流與反饋、加強(qiáng)內(nèi)部監(jiān)督的改進(jìn)建議。
[Abstract]:As the basis of various management work, internal control is an important symbol to measure the management level of modern enterprises and a reliable guarantee for the sustained and healthy development of enterprises. The average life span of private enterprises in China is less than 6 years. More than 95% of the corporate governance failures are related to the lack or failure of internal control. Taking the internal control problem of company L as the research object, the internal control objectives before and after the private enterprise listing. Internal control defects and other cases are described. The in-depth analysis of the case shows that there are differences in internal control objectives before and after the private enterprises go public. The defect of internal control is the main obstacle to the initial listing of private enterprises. The government and regulators promote the construction of internal control of private enterprises. Finally, under the guidance of "basic norms of internal control of enterprises", the paper proposes to improve the internal control environment of the related issues involved in the case of enterprises. Strengthen risk awareness, establish a perfect risk assessment system, perfect and strengthen control activities, smooth information exchange and feedback, and strengthen the improvement suggestions of internal supervision.
