承包商視角下國(guó)際工程EPC合同風(fēng)險(xiǎn)管理研究

【摘要】:我國(guó)在推進(jìn)國(guó)際工程承包市場(chǎng)的過(guò)程中,EPC(Engineering, Procurement, Construction)設(shè)計(jì)、采購(gòu)、施工總承包合同被普遍采用。承包商要對(duì)工程項(xiàng)目全面負(fù)責(zé),合同風(fēng)險(xiǎn)相對(duì)其他合同形式會(huì)增大很多,在這種情況下對(duì)于國(guó)際工程EPC合同風(fēng)險(xiǎn)管理進(jìn)行探究很有必要。國(guó)內(nèi)外學(xué)者發(fā)表了一些成果,但是存在局限:在國(guó)際工程EPC合同風(fēng)險(xiǎn)管理的研究中,針對(duì)FIDIC銀皮書條款的風(fēng)險(xiǎn)管理相對(duì)較少,從承包商角度的實(shí)踐案例有限;其次對(duì)合同風(fēng)險(xiǎn)管理研究主要集中在定性的分析,而將定性和定量結(jié)合起來(lái)是十分必要的;對(duì)于國(guó)際工程承包中的實(shí)踐遇到的問(wèn)題缺少系統(tǒng)全面的研究,合同風(fēng)險(xiǎn)管理體系中的防范和控制措施有待完善。 本文首先進(jìn)行了研究背景、研究意義的探討,然后闡述了國(guó)際工程EPC模式和合同、風(fēng)險(xiǎn)理論以及效用理論。在此基礎(chǔ)上進(jìn)行承包商視角下國(guó)際工程EPC合同風(fēng)險(xiǎn)的識(shí)別:對(duì)應(yīng)用最廣泛的FIDIC合同條款,從承包商角度將合同風(fēng)險(xiǎn)因素進(jìn)行了具體識(shí)別,結(jié)合條款進(jìn)行分析,整理出風(fēng)險(xiǎn)識(shí)別表。然后進(jìn)行承包商視角下國(guó)際工程EPC合同風(fēng)險(xiǎn)評(píng)價(jià):將定性與定量的方法相結(jié)合,利用風(fēng)險(xiǎn)多維理論以及效用理論,對(duì)于國(guó)際工程EPC合同風(fēng)險(xiǎn)進(jìn)行評(píng)價(jià)方法的改進(jìn),并且結(jié)合一個(gè)案例,對(duì)于此方法給出了案例分析和總結(jié),將理論應(yīng)用于實(shí)踐。同時(shí)對(duì)于承包商的國(guó)際工程EPC合同風(fēng)險(xiǎn)應(yīng)對(duì)給出針對(duì)性的建議,提出建立承包商國(guó)際工程EPC合同風(fēng)險(xiǎn)管理體系,闡述了基于三個(gè)維度的體系。文章最后進(jìn)行了總結(jié)和展望,具有一定的理論和實(shí)踐意義。
[Abstract]:In the process of promoting the international project contracting market, EPC (Engineering, Procurement, Construction) design, procurement and construction general contract are widely used in our country. The contractor should be fully responsible for the project, and the contract risk will increase a lot compared with other contract forms. In this case, it is necessary to explore the international EPC contract risk management. Scholars at home and abroad have published some achievements, but there are some limitations: in the study of risk management of international EPC contract, the risk management for FIDIC silver cover clause is relatively few, and the practical cases from the perspective of contractor are limited; Secondly, the research on contract risk management is mainly focused on qualitative analysis, and it is necessary to combine qualitative and quantitative analysis. The prevention and control measures in the contract risk management system need to be improved. This paper firstly discusses the background and significance of the research, and then expounds the international engineering EPC model and contract, risk theory and utility theory. On the basis of this, the author identifies the contract risk of international engineering EPC from the perspective of contractor: the most widely used FIDIC contract terms are identified from the contractor's point of view, and the contract risk factors are analyzed in combination with the terms. Sort out the risk identification table. Then the risk evaluation of international engineering EPC contract from the perspective of contractor: combining qualitative and quantitative methods, using multi-dimension risk theory and utility theory, the evaluation method of international engineering EPC contract risk is improved. Combined with a case, this paper gives case analysis and summary for this method, and applies the theory to practice. At the same time, the author puts forward some suggestions for the contractor's international engineering EPC contract risk management system, puts forward the establishment of the contractor's international engineering EPC contract risk management system, and expounds the system based on three dimensions. At the end of this paper, the conclusion and prospect are given, which is of theoretical and practical significance.
