【摘要】：隨著社會(huì)主義市場(chǎng)經(jīng)濟(jì)體制的逐步建立，傳統(tǒng)商事登記與市場(chǎng)經(jīng)濟(jì)發(fā)展的不適應(yīng)性日益凸顯。為解決這一問(wèn)題，亟需構(gòu)建一個(gè)能滿(mǎn)足社會(huì)主義市場(chǎng)經(jīng)濟(jì)體制要求的商事登記制度，這就要求我們必須重新審視傳統(tǒng)的商事登記,認(rèn)清傳統(tǒng)商事登記在計(jì)劃經(jīng)濟(jì)體制時(shí)期起到過(guò)舉足輕重的作用的同時(shí)，也要意識(shí)到其在當(dāng)下存在的不足。基于此，本文以珠海市作為商事登記改革的案例進(jìn)行分析，在分析我國(guó)商事登記管理的歷史沿革及傳統(tǒng)商事登記存在問(wèn)題的基礎(chǔ)上，對(duì)珠海市商事登記的實(shí)踐進(jìn)行梳理，從而發(fā)現(xiàn)珠海市商事登記改革中面臨的問(wèn)題，并針對(duì)以上問(wèn)題提出對(duì)策建議。 本文包括五章，第一章緒論，主要介紹本選題的研究意義、相關(guān)概念解析，文獻(xiàn)綜述及研究?jī)?nèi)容與方法。 第二章深化商事登記改革的必要性。首先梳理我國(guó)商事登記管理歷史，然后詳細(xì)分析我國(guó)傳統(tǒng)商事登記存在的諸如商事登記前置審批繁瑣、商事登記效力和性質(zhì)不清晰、商事登記公示過(guò)于簡(jiǎn)單，商事登記監(jiān)管主體權(quán)責(zé)不明等主要問(wèn)題。 第三章珠海商事登記改革的成效。在梳理珠海市商事登記改革主要內(nèi)容的基礎(chǔ)上，總結(jié)珠海商事登記改革的創(chuàng)新性，而后對(duì)商事登記改革的效果進(jìn)行論述。第四章珠海商事登記改革中面臨的問(wèn)題。在肯定商事登記改革成果的同時(shí)認(rèn)識(shí)到改革 實(shí)踐中存在的問(wèn)題，，包括證照的認(rèn)可問(wèn)題、后置審批問(wèn)題，后續(xù)監(jiān)管問(wèn)題。第五章完善商事登記改革的對(duì)策。針對(duì)上文存在的問(wèn)題，從三個(gè)方面提出進(jìn)一步完善商事登記改革的對(duì)策，分別是完善證照認(rèn)可問(wèn)題、縮減后置審批事項(xiàng)向集中審批轉(zhuǎn)變，明 確監(jiān)管責(zé)任創(chuàng)新監(jiān)管方式。
[Abstract]:With the gradual establishment of socialist market economic system, the inadaptability of traditional commercial registration and the development of market economy is becoming increasingly prominent. In order to solve this problem, it is urgent to construct a commercial registration system which can meet the requirements of the socialist market economic system, which requires us to re-examine the traditional commercial registration. While recognizing that traditional commercial registration played an important role in the period of planned economy system, we should also realize its deficiency at present. Based on this, this paper takes Zhuhai as a case of commercial registration reform, analyzes the history of commercial registration management in China and the existing problems of traditional commercial registration, and combs the practice of commercial registration in Zhuhai. The problems in the reform of Zhuhai commercial registration are found, and the countermeasures are put forward. This paper includes five chapters, the first chapter is introduction, mainly introduces the research significance of this topic, related concept analysis, literature review, research content and method. The second chapter is the necessity of deepening the reform of commercial registration. First of all, combing the history of commercial registration management in our country, then analyzing in detail the existence of traditional commercial registration in our country, such as the red tape of commercial registration, the unclear validity and nature of commercial registration, and the simple publicity of commercial registration. The main problems such as the unclear rights and responsibilities of the supervisory subject of commercial registration. Chapter three: the effect of commercial registration reform in Zhuhai. On the basis of combing the main contents of Zhuhai commercial registration reform, this paper summarizes the innovation of Zhuhai commercial registration reform, and then discusses the effect of commercial registration reform. The fourth chapter is about the problems of commercial registration reform in Zhuhai. While affirming the achievements of commercial registration reform, the author recognizes the problems existing in the reform practice, including the issue of certification approval, post-examination and approval, and follow-up supervision. The fifth chapter consummates the commercial registration reform countermeasure. In view of the problems that exist above, the countermeasures to further improve the reform of commercial registration are put forward from three aspects, namely, to perfect the issue of license recognition, to reduce the post-approval items to the centralized examination and approval. Clear regulatory responsibility to innovate regulatory methods.
