【摘要】：PPP合同體系是基于一系列合作伙伴關(guān)系建立的關(guān)系性契約集合。PPP項(xiàng)目建設(shè)涉及項(xiàng)目融資、建設(shè)、經(jīng)營(yíng)、管理和移交等全過(guò)程，其具有合作周期長(zhǎng)、資本投資巨大、參與利益者眾多和合作環(huán)境不確定性等特征，形成了復(fù)雜的合作關(guān)系。由于PPP項(xiàng)目的特殊性、合同體系的整體性及合同主體的關(guān)鍵性，論文基于對(duì)相關(guān)概念界定和理論分析，從PPP項(xiàng)目運(yùn)行機(jī)理、PPP項(xiàng)目全壽命周期及PPP利益相關(guān)者關(guān)系三個(gè)方面進(jìn)行了陳述和分析；其次借鑒國(guó)內(nèi)、國(guó)際示范合同體系、澳大利亞及香港地區(qū)PPP合同體系的內(nèi)容，得出構(gòu)建PPP合同體系的研究思路；然后分析了我國(guó)典型PPP模式的運(yùn)作流程；最后從合同階段、合同內(nèi)容、合同簽約方、合同性質(zhì)對(duì)PPP項(xiàng)目所有合同進(jìn)行了分類(lèi)，分析了PPP項(xiàng)目各合同的合同關(guān)系，從PPP項(xiàng)目各合同的必要性、重要性角度對(duì)各合同分類(lèi)，結(jié)合PPP項(xiàng)目全壽命周期和重要性二維角度，構(gòu)建我國(guó)PPP合同體系，并以適合我國(guó)國(guó)情、實(shí)際項(xiàng)目應(yīng)用最多的特定PPP模式以例，構(gòu)建了其合同體系。得出以下結(jié)論：第一，具體的PPP項(xiàng)目模式?jīng)Q定PPP合同體系差異性；第二，， PPP合同體系由一系列合同文件組成，它是一個(gè)適應(yīng)性強(qiáng)的菜單式合同文件，由必要合同、核心可選合同、主要可選合同、次要可選合同組成；并結(jié)合PPP項(xiàng)目全壽命周期各階段和合同重要性二維角度，對(duì)PPP合同體系內(nèi)的可選合同進(jìn)行分類(lèi)和整理。在PPP項(xiàng)目模式受到廣泛青睞、PPP項(xiàng)目相關(guān)合同文件不完善及較少的PPP合同體系的理論研究的背景下，論文對(duì)PPP合同體系的研究具有重要的理論意義和前沿性實(shí)踐示范意義。 論文受?chē)?guó)家社會(huì)科學(xué)基金項(xiàng)目《西部地區(qū)公共項(xiàng)目公私合作機(jī)制研究》（10XGL0009）的資助。
[Abstract]:PPP contract system is a set of relational contracts based on a series of partnerships. PPP project construction involves the whole process of project financing, construction, management, management and transfer. It has a long cooperation period and huge capital investment. Many participants and uncertain cooperative environment have formed a complex cooperative relationship. Because of the particularity of the PPP project, the integrity of the contract system and the key of the contract subject, the paper is based on the definition of relevant concepts and theoretical analysis. From three aspects of PPP project operation mechanism and PPP project life cycle and PPP stakeholder relationship, the paper describes and analyzes the content of PPP contract system in Australia and Hong Kong, and draws lessons from domestic, international model contract system and PPP contract system in Australia and Hong Kong. Then it analyzes the operation process of typical PPP model in our country. Finally, it classifies all contracts of PPP project from contract stage, contract content, contract signatory and contract nature. This paper analyzes the contract relationship of PPP project, classifies each contract from the point of view of necessity and importance of PPP project, constructs the PPP contract system of our country from the perspective of the whole life cycle and importance of PPP project, and adapts to the situation of our country. The contract system of specific PPP model, which is widely used in practical projects, is constructed. The conclusions are as follows: first, the specific PPP project model determines the difference of PPP contract system; second, the PPP contract system is composed of a series of contract documents, which is a menu contract document with strong adaptability, and is made up of necessary contracts. The core optional contract, the main optional contract, the secondary optional contract composition, and the PPP project life cycle each stage and the contract importance 2-D angle, carries on the classification and the arrangement to the PPP contract system optional contract. Under the background that the PPP project model is widely favored and the PPP contract documents are not perfect and the PPP contract system is less, the paper has important theoretical significance and advanced practical demonstration significance to the research of PPP contract system.
