【摘要】:自2010年以來(lái),面對(duì)我國(guó)中央政府一輪又一輪的房地產(chǎn)調(diào)控政策,銀行貸款、企業(yè)IPO等傳統(tǒng)、主流的融資方式受到嚴(yán)重限制。針對(duì)典型資金密集型的房地產(chǎn)行業(yè),融資渠道和方式多元化成為了必然趨勢(shì)。私募房地產(chǎn)投資基金作為我國(guó)房地產(chǎn)金融領(lǐng)域一種新產(chǎn)品和融資方式,為房地產(chǎn)市場(chǎng)注入新的活力。 本論文以一真實(shí)房地產(chǎn)投資基金項(xiàng)目為基礎(chǔ),結(jié)合房地產(chǎn)基金項(xiàng)目投資和運(yùn)營(yíng)過(guò)程中所應(yīng)開(kāi)展的工作和風(fēng)險(xiǎn)控制要點(diǎn)進(jìn)行研究和分析,并根據(jù)項(xiàng)目現(xiàn)階段運(yùn)行情況和存在問(wèn)題提出啟示和建議。具體包括:房地產(chǎn)基金項(xiàng)目投資分析,房地產(chǎn)基金運(yùn)營(yíng)分析,運(yùn)行情況和管理啟示。 房地產(chǎn)基金項(xiàng)目投資分析中,采用PEST宏觀環(huán)境分析方法和SPT定位方法對(duì)房地產(chǎn)項(xiàng)目所處區(qū)位環(huán)境和發(fā)展前景、策劃定位和目標(biāo)市場(chǎng)等方面進(jìn)行分析;采用敏感性分析等對(duì)項(xiàng)目財(cái)務(wù)指標(biāo)、盈利能力進(jìn)行分析;同時(shí),論文撰寫期間,對(duì)項(xiàng)目所在區(qū)域及周邊樓盤進(jìn)行實(shí)地市場(chǎng)調(diào)研,,包括相關(guān)項(xiàng)目形態(tài)、定位、市場(chǎng)價(jià)格、銷售和去化率情況等,從而評(píng)價(jià)房地產(chǎn)項(xiàng)目的投資可行性。 房地產(chǎn)基金運(yùn)營(yíng)分析中,主要從基金投資安全性出發(fā),闡述盡職調(diào)查和投資決策的程序和重要性,同時(shí)針對(duì)投資方案中資金還款安全性、抵押擔(dān)保措施、項(xiàng)目運(yùn)營(yíng)中的過(guò)程監(jiān)督、退出機(jī)制等方面進(jìn)行分析和探討。同時(shí)對(duì)基金項(xiàng)目運(yùn)行結(jié)果進(jìn)行分析。 房地產(chǎn)基金管理啟示中,針對(duì)本房地產(chǎn)基金項(xiàng)目在運(yùn)行過(guò)程中,交易對(duì)手出現(xiàn)的一些變化和企業(yè)風(fēng)險(xiǎn),以及我國(guó)私募房地產(chǎn)投資基金領(lǐng)域暫處初步發(fā)展階段存在的問(wèn)題和潛在風(fēng)險(xiǎn),提出建議和警示。 通過(guò)對(duì)房地產(chǎn)基金運(yùn)營(yíng)管理的整體分析和研究,總結(jié)出房地產(chǎn)基金項(xiàng)目投資和運(yùn)營(yíng)過(guò)程中,既要重視房地產(chǎn)項(xiàng)目的投資可行性分析,也要重視基金方案設(shè)計(jì)和運(yùn)營(yíng)中的風(fēng)險(xiǎn)控制和規(guī)避,同時(shí)交易對(duì)手企業(yè)和控制人的背景情況也很重要。最后,在倡導(dǎo)加強(qiáng)法律法規(guī)建設(shè)和行業(yè)自律的同時(shí),本論文將為我國(guó)本土私募房地產(chǎn)基金行業(yè)發(fā)展和投資實(shí)踐提供一定借鑒和促進(jìn)作用。
[Abstract]:Since 2010, in the face of the central government's round of real estate regulation policy, bank loans, enterprise IPO and other traditions, the mainstream financing methods are severely restricted. In view of the typical capital-intensive real estate industry, the diversification of financing channels and ways has become an inevitable trend. As a new product and financing method in China's real estate finance field, private real estate investment funds inject new vitality into the real estate market. Based on a real estate investment fund project, this paper studies and analyzes the key points of risk control and the work that should be carried out in the process of investment and operation of real estate fund project. And according to the current operation of the project and the existing problems of enlightenment and suggestions. Specific include: real estate fund project investment analysis, real estate fund operation analysis, operation and management enlightenment. In the process of investment analysis of real estate fund project, PEST macro environment analysis method and SPT positioning method are used to analyze the location environment and development prospect of real estate project, planning orientation and target market. At the same time, during the writing of the paper, the field market research on the project area and the surrounding buildings is carried out, including the related project form, positioning, market price, and so on. Sales and devitalization rate, etc., to evaluate the investment feasibility of real estate projects. In the analysis of the operation of real estate fund, the paper expounds the procedure and importance of due diligence and investment decision from the perspective of the security of fund investment, at the same time, aiming at the security of repayment of funds in the investment scheme, the measures of mortgage guarantee, The process supervision and exit mechanism in project operation are analyzed and discussed. At the same time, the fund project operation results are analyzed. In the inspiration of real estate fund management, in view of some changes and enterprise risks in the course of operation of the real estate fund project, As well as the problems and potential risks in the field of private real estate investment funds in the initial stage of development, and put forward suggestions and warnings. Through the overall analysis and research on the operation and management of real estate funds, it is concluded that in the process of investment and operation of real estate fund projects, we should attach importance to the investment feasibility analysis of real estate projects. It is also important to pay attention to the risk control and avoidance in the design and operation of the fund scheme, and the background of the counterparty enterprise and the controller is also very important. Finally, while advocating to strengthen the construction of laws and regulations and self-discipline of the industry, this paper will provide some reference and promotion for the development and investment practice of the local private real estate fund industry in China.
