【摘要】：隨著經(jīng)濟(jì)全球化以及“走出去”戰(zhàn)略的實(shí)施,中國(guó)企業(yè)正在加快向海外擴(kuò)張。專利作為搶占競(jìng)爭(zhēng)優(yōu)勢(shì)的關(guān)鍵性資源,已經(jīng)成為我國(guó)企業(yè)開展海外并購(gòu)活動(dòng)的重要目的。然而,涉及專利的海外并購(gòu)是一個(gè)十分復(fù)雜且高風(fēng)險(xiǎn)的過(guò)程,即便是大型跨國(guó)公司也都曾出現(xiàn)過(guò)重大失誤。對(duì)我國(guó)企業(yè)海外并購(gòu)活動(dòng)中的專利風(fēng)險(xiǎn)進(jìn)行準(zhǔn)確甄別以及控制管理,將有助于保護(hù)企業(yè)自身權(quán)益,有效實(shí)現(xiàn)專利的轉(zhuǎn)移和價(jià)值創(chuàng)造。 本文綜合運(yùn)用文獻(xiàn)查閱、專利分析、案例分析、定性分析和定量分析相結(jié)合等研究方法,依托我國(guó)企業(yè)海外并購(gòu)的特質(zhì)及專利風(fēng)險(xiǎn)管理的發(fā)展現(xiàn)狀開展研究,同時(shí)對(duì)國(guó)內(nèi)外基于專利風(fēng)險(xiǎn)研究的跨國(guó)并購(gòu)案例進(jìn)行剖析和借鑒；分別企業(yè)跨國(guó)并購(gòu)的不同階段,對(duì)并購(gòu)中的專利風(fēng)險(xiǎn)因素進(jìn)行了梳理；基于海外并購(gòu)中的專利風(fēng)險(xiǎn)點(diǎn),構(gòu)建了專利風(fēng)險(xiǎn)評(píng)價(jià)體系,并提出了并購(gòu)中的專利風(fēng)險(xiǎn)控制策略；通過(guò)深入剖析基于專利并購(gòu)的典型案例,總結(jié)出給中國(guó)企業(yè)海外并購(gòu)專利風(fēng)險(xiǎn)控制帶來(lái)的啟示；綜合專利并購(gòu)流程,基于波特教授的價(jià)值鏈理論,提出了海外并購(gòu)中專利風(fēng)險(xiǎn)管理措施。 本文并基于專利的角度對(duì)并購(gòu)風(fēng)險(xiǎn)因素進(jìn)行解釋,對(duì)企業(yè)并購(gòu)整合過(guò)程研究提供了新的視角,對(duì)我國(guó)企業(yè)更好地走出國(guó)門提供了一定的理論基礎(chǔ)和現(xiàn)實(shí)意義。
[Abstract]:With the economic globalization and the implementation of the "going out" strategy, Chinese enterprises are speeding up their overseas expansion. Patents are regarded as the key resources to seize the competitive advantage. It has become an important purpose for Chinese enterprises to carry out overseas mergers and acquisitions. However, overseas M & A involving patents is a very complex and high-risk process. Even large multinational companies have made major mistakes. It will help to protect the rights and interests of enterprises by accurately identifying and controlling the patent risk in the overseas M & A activities of Chinese enterprises. Effectively realize patent transfer and value creation. In this paper, literature review, patent analysis, case analysis, qualitative analysis and quantitative analysis combined with other research methods, relying on the characteristics of overseas mergers and acquisitions and the development of patent risk management to carry out research. At the same time, the case of cross-border M & A based on patent risk research at home and abroad is analyzed and used for reference. In the different stages of transnational M & A, the patent risk factors in M & A are sorted out. Based on the point of patent risk in overseas M & A, the evaluation system of patent risk is constructed, and the control strategy of patent risk in M & A is put forward. Through in-depth analysis of the typical cases based on patent M & A, this paper summarizes the inspiration to the patent risk control of overseas M & A of Chinese enterprises. Based on Professor Porter's theory of value chain, this paper puts forward the measures of patent risk management in overseas M & A. This paper also explains the risk factors of M & A from the perspective of patent, provides a new perspective for the study of the process of M & A integration, and provides a certain theoretical basis and practical significance for Chinese enterprises to go abroad better.
