【摘要】：十八大以來,以“簡政放權(quán)”為重心的全面深化改革,聚焦于商事改革,如火如荼、高歌猛進。為了激發(fā)市場活力,擴大企業(yè)生存和發(fā)展空間,最大程度地增強企業(yè)自治,重點采取了以放寬市場準(zhǔn)入為核心的“寬進”措施,對現(xiàn)行商事制度進行了大刀闊斧的機制改革與制度創(chuàng)新。“寬進”之制度變革充分體現(xiàn)了“回歸市場本性”之原本,其核心就是彰顯私法理念。作為與之配套補位的“嚴(yán)管”舉措,企業(yè)信息公示制度旨在以信用約束這一“嚴(yán)苛”的“第三維度”信息監(jiān)管手段,為我國市場經(jīng)濟發(fā)展“保駕護航”。以2014年《企業(yè)信息公示暫行條例》為中心的企業(yè)信息公示制度是我在世界范圍內(nèi)的首創(chuàng),其對商事領(lǐng)域的突出貢獻不言而喻。但是,作為彰顯商法效率與安全價值追求的一種新興制度,由于理論基礎(chǔ)的支撐相對薄弱,在現(xiàn)實推進過程中必然會遭遇到程度不同的難題與挑戰(zhàn)。有鑒于此,本文著眼于企業(yè)信息公示的理論支持與制度推進兩個面,努力探求該制度所維系的內(nèi)在機理,以期實現(xiàn)“寬進嚴(yán)管”下的制度優(yōu)化。本文共分為六部分內(nèi)容:第一部分為緒論。主要介紹本文研究問題的切入與引出,對商事改革背景作出基本闡釋,歸納研究綜述以及總結(jié)本文的創(chuàng)新與不足之處。第二部分為基本評介。主要以《企業(yè)信息公示暫行條例》為切入點,厘定不同信息公示義務(wù)主體之間公示信息的內(nèi)容與范圍,評介信用約束這一信息監(jiān)管的主要舉措,闡釋制度建立的重要意義。第三部分為對比分析。主要以商事登記理論為出發(fā)點,揭示商事登記是企業(yè)信息公示重要的理論支撐,重點通過對傳統(tǒng)商事登記理論與企業(yè)信息公示制度的對比分析,彰顯該制度在新時期、新背景下的創(chuàng)新與進步。第四部分為現(xiàn)實運作與問題分析。主要通過《企業(yè)信息公示暫行條例》在我國兩年多來的施行與運作狀況,并結(jié)合有關(guān)部門的數(shù)據(jù)統(tǒng)計等,分析該制度在我國實踐中存在的突出問題。第五部分為現(xiàn)行制度完善之重點。結(jié)合第四部分關(guān)于企業(yè)信息公示在我國施行中存在的問題,重點提出四個方面的完善建議。最后的結(jié)論主要是對本文研究進行進一步梳理、總結(jié)與提升,同時,對我國商事改革的后續(xù)深化以及企業(yè)信息公示制度乃至商事公示制度的未來發(fā)展予以期待。
[Abstract]:Since the eighteen major, we have focused on the overall deepening of the reform of "simple government and decentralization", focusing on the commercial reform, which is in full swing. In order to stimulate the vitality of the market, expand the space for the survival and development of enterprises, and maximize the autonomy of enterprises, the emphasis is on the "broad" measures taking the market access as the core, and the current commercial system. The reform of the mechanism and the innovation of the system have been carried out. The institutional change of "wide entry" fully embodies the original "return to the nature of the market", and its core is to highlight the idea of private law. As a "strict management" measure, the enterprise information publicity system aims to deal with this "harsh" "third dimension" information by credit. Supervision means to protect the development of the market economy in China. The enterprise information publicity system centered on the Interim Regulations of the enterprise information public announcement in 2014 is the first creation in the world. Its outstanding contribution to the business field is self-evident. However, as a new system to highlight the efficiency of commercial law and the pursuit of security value, it is a new system. The support of the theoretical foundation is relatively weak. In the course of reality, there will inevitably be a different degree of difficulties and challenges. In view of this, this article focuses on two aspects of the theoretical support and institutional promotion of the enterprise information publicity, and tries to explore the internal mechanism maintained by the system so as to achieve the system optimization under the "wide and strict control". It is divided into six parts: the first part is the introduction. It mainly introduces the breakthrough and elicitation of this study, makes a basic interpretation of the background of the business reform, summarizes the summary of the research and summarizes the innovation and shortcomings of this article. The second part is the basic evaluation. The content and scope of the public information between the subject of the obligation is shown, and the main measures of the information supervision and regulation are reviewed and the important significance of establishing the system is explained. The third part is the comparative analysis. It mainly takes the business registration theory as the starting point to reveal that the business registration is the theoretical support of the enterprise information publicity, with the emphasis on the traditional business affairs. The fourth part is the actual operation and analysis of the system in the new period and the new background. The analysis of the system is mainly through the implementation and operation of the Interim Regulations of the enterprise information publicity for more than two years in China, and the data statistics of the relevant departments. The fifth part is the key problem in our country's practice. The fifth part is the focus of the improvement of the current system. Combining the fourth parts with the problems existing in the implementation of the enterprise information publicity in our country, the paper puts forward the perfect suggestions in four aspects. The final conclusion is to further comb the research, summarize and promote the research, and at the same time, to our business affairs The follow-up deepening of reform and the future development of enterprise information publicity system and commercial publicity system are expected.
