【摘要】：第二次世界大戰(zhàn)后建立的布雷頓森林體系催生了最早的國際金融機(jī)構(gòu)——國際復(fù)興開發(fā)銀行和國際貨幣基金組織。經(jīng)過了七十多年的發(fā)展,世界上出現(xiàn)了多個(gè)全球性和區(qū)域性的國際金融機(jī)構(gòu),當(dāng)今國際金融領(lǐng)域正面臨著大變革和大調(diào)整,主要國際金融機(jī)構(gòu)都在醞釀或?qū)嵤└母��！爸卫斫Y(jié)構(gòu)”的概念最早來自于現(xiàn)代經(jīng)濟(jì)學(xué)中對(duì)公司治理的研究。而“國際金融機(jī)構(gòu)的治理結(jié)構(gòu)”是隨著國際金融機(jī)構(gòu)的產(chǎn)生和發(fā)展而衍生的概念,目前在國際法領(lǐng)域尚無學(xué)者給出明確定義。作為最新成立的多邊開發(fā)銀行,亞洲基礎(chǔ)設(shè)施投資銀行不同于過去的國際金融機(jī)構(gòu)。亞洲基礎(chǔ)設(shè)施投資銀行的治理結(jié)構(gòu)對(duì)其他國際金融機(jī)構(gòu)的治理結(jié)構(gòu)既有承襲之處也有創(chuàng)新之處。本文將從五個(gè)部分對(duì)亞洲基礎(chǔ)設(shè)施投資銀行和主要國際金融機(jī)構(gòu)的治理結(jié)構(gòu)做比較研究:第一部分:回顧亞投行的成立過程、性質(zhì)、宗旨、職能和《亞投行協(xié)定》;第二部分:對(duì)“治理結(jié)構(gòu)”的經(jīng)濟(jì)學(xué)研究進(jìn)行回顧,對(duì)“國際金融機(jī)構(gòu)的治理結(jié)構(gòu)”這一概念提出定義并確定內(nèi)容范圍;第三部分:研究亞投行的治理結(jié)構(gòu),包括資本份額、投票權(quán)和決策機(jī)構(gòu)三部分;第四部分:對(duì)主要國際金融機(jī)構(gòu)和亞投行的治理結(jié)構(gòu)從份額分配、投票權(quán)分配和決策機(jī)構(gòu)設(shè)置三個(gè)方面做對(duì)比分析;第五部分:對(duì)亞投行未來的治理結(jié)構(gòu)完善提出建議。
[Abstract]:The Bretton Woods system, established after the second World War, gave birth to the earliest international financial institutions, the International Bank for Reconstruction and Development (IBRD) and the International Monetary Fund (IMF). After more than 70 years of development, there are many global and regional international financial institutions in the world. Nowadays, the international financial field is facing great changes and adjustments, and the major international financial institutions are brewing or implementing reforms. The concept of "governance structure" comes from the study of corporate governance in modern economics. "the governance structure of international financial institutions" is a concept derived from the emergence and development of international financial institutions, which has not been clearly defined by scholars in the field of international law. As the newest multilateral development bank, Asian Infrastructure Investment Bank is different from the past international financial institutions. The governance structure of the Asian Infrastructure Investment Bank (IIB) inherits and innovates the governance structure of other international financial institutions. This paper will make a comparative study of the governance structure of the Asian Infrastructure Investment Bank and the major international financial institutions from five parts: part one: review the founding process, nature and purpose of the AIIB. Functions and the AIIB Agreement; part II: review of economic research on "governance structure", definition and scope of the concept of "governance structure of international financial institutions"; Part III: study of the governance structure of the AIIB, including three parts: capital share, voting rights and decision-making bodies; part IV: allocation of shares to the governance structures of the major international financial institutions and the AIIB, The fifth part is to put forward some suggestions on the perfection of the future governance structure of the AIIB.
