【摘要】:風(fēng)險(xiǎn)投資作為高新技術(shù)企業(yè)發(fā)展的推進(jìn)器倍受世人青睞,對(duì)于解決中小企業(yè)融資難、促進(jìn)創(chuàng)新創(chuàng)業(yè)、支持企業(yè)重組重建、推動(dòng)企業(yè)轉(zhuǎn)型升級(jí)具有重要的作用。風(fēng)險(xiǎn)投資作為一種創(chuàng)造性極強(qiáng)的經(jīng)濟(jì)活動(dòng),其立項(xiàng)、盡調(diào)、投資協(xié)議簽審乃至項(xiàng)目退出的整個(gè)過(guò)程,都存在環(huán)環(huán)相扣的因果關(guān)系,每一個(gè)環(huán)節(jié)都對(duì)應(yīng)著相應(yīng)的風(fēng)險(xiǎn),投資風(fēng)險(xiǎn)的存在對(duì)投資業(yè)務(wù)的成敗起著非常關(guān)鍵的作用。本文以A國(guó)有風(fēng)險(xiǎn)投資公司的投資指導(dǎo)制度、投資操作流程及投資風(fēng)險(xiǎn)管理制度為研究對(duì)象,通過(guò)風(fēng)險(xiǎn)管理框架進(jìn)行風(fēng)險(xiǎn)識(shí)別、評(píng)估和控制,分析A風(fēng)險(xiǎn)投資公司在公司管理層面和投資業(yè)務(wù)操作層面存在的的風(fēng)險(xiǎn)管理問(wèn)題和原因,并提出相關(guān)對(duì)策和建議,具有非常重要的現(xiàn)實(shí)意義,對(duì)我國(guó)其他風(fēng)險(xiǎn)投資公司開(kāi)展風(fēng)險(xiǎn)管理工作也提供了一定的借鑒作用。本文研究認(rèn)為,A國(guó)有風(fēng)險(xiǎn)投資公司的風(fēng)險(xiǎn)管理存在以下問(wèn)題:在公司管理層面,風(fēng)險(xiǎn)管理意識(shí)薄弱、風(fēng)險(xiǎn)管理組織結(jié)構(gòu)不完善、風(fēng)險(xiǎn)管理制度不健全;在業(yè)務(wù)操作層面,法律風(fēng)險(xiǎn)、業(yè)務(wù)風(fēng)險(xiǎn)、財(cái)務(wù)風(fēng)險(xiǎn)的評(píng)估方法單一,風(fēng)險(xiǎn)應(yīng)對(duì)方法也不完善。本文提出了完善A國(guó)有風(fēng)險(xiǎn)投資公司的投資風(fēng)險(xiǎn)管理的對(duì)策,主要有以下幾點(diǎn):第一,加強(qiáng)投資風(fēng)險(xiǎn)管理文化建設(shè),把投資風(fēng)險(xiǎn)管理的責(zé)任內(nèi)化為員工的職業(yè)態(tài)度和工作習(xí)慣,最大限度地發(fā)揮員工在投資風(fēng)險(xiǎn)管理方面的積極性和創(chuàng)造性;第二,完善投資風(fēng)險(xiǎn)管理組織結(jié)構(gòu),招募專業(yè)投資人才和風(fēng)控人才,強(qiáng)化團(tuán)隊(duì)建設(shè);第三,優(yōu)化投資風(fēng)險(xiǎn)管理制度,構(gòu)建具有國(guó)有風(fēng)險(xiǎn)投資公司特色的投資風(fēng)險(xiǎn)管理制度,保障相關(guān)制度能夠有效實(shí)施;第四,借助有效的投資風(fēng)險(xiǎn)管理工具,通過(guò)科學(xué)的風(fēng)險(xiǎn)評(píng)估方法進(jìn)行風(fēng)險(xiǎn)測(cè)量,引進(jìn)第三方中介機(jī)構(gòu)參與投資業(yè)務(wù)工作;第五,發(fā)展先進(jìn)的投資風(fēng)險(xiǎn)管理方法,通過(guò)科學(xué)的投資風(fēng)險(xiǎn)管理辦法進(jìn)行風(fēng)險(xiǎn)規(guī)避、風(fēng)險(xiǎn)轉(zhuǎn)移和風(fēng)險(xiǎn)分散。
[Abstract]:Venture capital, as the propeller of the development of high-tech enterprises, is very popular in the world. It plays an important role in solving the financing difficulties of small and medium-sized enterprises, promoting innovation and entrepreneurship, supporting the reorganization and reconstruction of enterprises, and promoting the transformation and upgrading of enterprises. As a kind of highly creative economic activity, venture capital has a close causal relationship in the whole process of establishing projects, adjusting investment agreements, signing and examining investment agreements and even withdrawing projects. Each link corresponds to the corresponding risks. The existence of investment risk plays a key role in the success or failure of investment business. This paper takes the investment guidance system, the investment operation process and the investment risk management system of country A venture capital company as the research object, carries on the risk identification, the appraisal and the control through the risk management framework, It is of great practical significance to analyze the problems and causes of risk management in A venture capital company at the level of management and operation of investment business, and to put forward relevant countermeasures and suggestions. It also provides some reference for other venture capital companies to carry out risk management. In this paper, the author thinks that there are some problems in the risk management of the venture capital companies in China: at the level of company management, the consciousness of risk management is weak, the organizational structure of risk management is not perfect, the system of risk management is not perfect, and the risk management system is not perfect at the level of business operation. Legal risk, business risk, financial risk assessment method is single, risk response method is not perfect. This paper puts forward the countermeasures to perfect the investment risk management of country A venture capital company, mainly as follows: first, strengthen the construction of investment risk management culture, and internalize the responsibility of investment risk management into the professional attitude and work habit of the staff. To maximize the enthusiasm and creativity of employees in investment risk management; second, to improve the investment risk management organizational structure, recruit professional investment personnel and wind control personnel, and strengthen team building; third, Optimize the investment risk management system, construct the investment risk management system with the characteristics of state-owned venture capital companies, ensure that the relevant systems can be effectively implemented; fourth, with the aid of effective investment risk management tools, Carry on the risk measurement through the scientific risk assessment method, introduce the third party intermediary to participate in the investment business work; fifthly, develop the advanced investment risk management method, carry on the risk avoidance through the scientific investment risk management method, Risk transfer and risk dispersion.
