【摘要】：政府和社會資本合作(PPP)最早由英國政府于1982年提出,目前在世界各地已得到廣泛的應(yīng)用。我國地方債形勢嚴(yán)峻,基礎(chǔ)設(shè)施建設(shè)資金缺口巨大,而私營經(jīng)濟(jì)的迅速發(fā)展又為其參與基礎(chǔ)設(shè)施建設(shè)奠定了物質(zhì)基礎(chǔ),但如何使社會資本積極參與公共基礎(chǔ)設(shè)施建設(shè),是推廣PPP模式亟待解決的關(guān)鍵問題。目前情況下,作為社會資本方的金融投資機構(gòu),缺乏對PPP模式的了解和對PPP項目運作的經(jīng)驗,導(dǎo)致許多PPP項目最終并不能有效實施。本文結(jié)合H公司的實際情況,對其擬參與PPP項目的運作方案進(jìn)行了研究。論文首先從PPP項目的交易結(jié)構(gòu)入手,指出H公司在參與PPP項目時面臨三個問題:一是融資渠道受限;二是項目公司的運營管理;三是資金的退出方式。針對這些問題,本文提出了以契約型基金介入PPP項目的方案。方案設(shè)計以契約型基金的優(yōu)勢為理論依據(jù),從多個角度分析了設(shè)立契約型基金的可行性,并根據(jù)PPP項目的特點對H公司以契約型基金參與PPP項目運作的交易結(jié)構(gòu)進(jìn)行了設(shè)計。論文闡述了引入契約型基金后交易結(jié)構(gòu)的優(yōu)勢,并對設(shè)計方案進(jìn)行了收益性與風(fēng)險性評估,以確保H公司資金的盈利性和安全性;同時,論文也指出了方案實施中可能遇到的問題,并提出了相應(yīng)的解決措施。本文在前人研究的基礎(chǔ)上,更加注重實踐性與可行性,針對我國金融機構(gòu)在參與PPP項目時所面臨的問題,提出以契約型基金介入PPP項目運作的方案設(shè)計,一定程度上豐富了關(guān)于PPP融資模式的理論研究。在此,也可以對我國金融機構(gòu)有效參與PPP項目提供借鑒,使得我國金融機構(gòu)在參與PPP項目融資時,能夠有更多的參考。
[Abstract]:The partnership between government and social capital was first put forward by the British government in 1982. It has been widely used in various parts of the world at present. The situation of local debt in China is grim, and the financing gap for infrastructure construction is huge. The rapid development of private economy has laid a material foundation for its participation in infrastructure construction. However, how to make social capital actively participate in public infrastructure construction is the key problem to be solved to popularize the PPP model. As a financial investment institution of social capital, lack of understanding of PPP model and experience of PPP project operation lead to many PPP projects can not be implemented effectively. Firstly, this paper starts with the transaction structure of the PPP project, and points out that H company faces three problems when participating in the PPP project: one is limited financing channel, the other is the operation management of the project company. Thirdly, the exit mode of capital. In view of these problems, this paper puts forward a scheme to involve contractual funds in PPP projects. The scheme design is based on the advantages of contractual funds, and analyzes the feasibility of setting up contractual funds from many angles. According to the characteristics of PPP project, the trading structure of H company to participate in the operation of PPP project with contract fund is designed. The advantage of trading structure after the introduction of contract fund is expounded, and the profit and risk of the design scheme are evaluated. In order to ensure the profitability and security of H company funds, the paper also points out the problems that may be encountered in the implementation of the scheme, and puts forward the corresponding solutions. In view of the problems that financial institutions in China are facing when participating in PPP projects, this paper puts forward the scheme design of the involvement of contractual funds in the operation of PPP projects, which to some extent enriches the theoretical research on the financing mode of PPP. It can also provide reference for Chinese financial institutions to participate in PPP projects effectively, so that Chinese financial institutions can have more reference when they participate in the financing of PPP projects.
