【摘要】：近幾年,隨著中國經(jīng)濟(jì)進(jìn)入新常態(tài),一些企業(yè)在經(jīng)營上急需轉(zhuǎn)型,融資難問題凸顯。股票質(zhì)押式回購交易業(yè)務(wù)是近年來我國金融市場新推出的一項創(chuàng)新型的融資方式,它是指符合條件的融資人將所持有的上市公司股票質(zhì)押,向符合條件的資金融出方融入資金,并約定一定時間后返還本金和利息,并解除股票質(zhì)押的交易行為。由于其具有類似于銀行信用貸款業(yè)務(wù)的特點,同時具有一定的經(jīng)濟(jì)杠桿作用,且融資成本相對較低、手續(xù)便捷,一經(jīng)推出,就受到金融市場各方高度關(guān)注和積極參與。股票質(zhì)押式回購業(yè)務(wù)為活躍證券市場、盤活客戶資產(chǎn)存量,推動實體經(jīng)濟(jì)發(fā)展、增加金融機(jī)構(gòu)收入來源等方面都起到了重要作用。但正是由于此項業(yè)務(wù)本質(zhì)上是一種帶有質(zhì)押條款的債務(wù)融資,所以在開展過程中如果風(fēng)險管控不當(dāng),也會對金融機(jī)構(gòu)、金融市場乃至實體經(jīng)濟(jì)造成負(fù)面影響。目前我國金融機(jī)構(gòu)普遍存在此項業(yè)務(wù)風(fēng)險管理手段不完善,機(jī)制不健全的問題,當(dāng)出現(xiàn)融資人信用危機(jī)、質(zhì)押物變現(xiàn)困難等情況時,必將難以抵抗風(fēng)險帶來的沖擊。在開展股票質(zhì)押式回購業(yè)務(wù)時,如何規(guī)避及控制風(fēng)險,將違約風(fēng)險降到最低,具有十分重要的現(xiàn)實意義。本調(diào)研報告選取了筆者2016年暑期在XY基金公司實習(xí)期間接觸到的一筆融資人為A公司的股票質(zhì)押式回購業(yè)務(wù),主要負(fù)責(zé)業(yè)務(wù)開展之前的盡職調(diào)查工作。筆者期間深入調(diào)研了A公司及其質(zhì)押股票的基本情況,搜集到了大量一手資料,并結(jié)合所學(xué)理論知識進(jìn)行調(diào)研分析,最后得出了業(yè)務(wù)開展的可行性結(jié)論。在此基礎(chǔ)上,報告結(jié)合調(diào)研過程中遇到的關(guān)鍵問題,對金融機(jī)構(gòu)在開展股票質(zhì)押回購業(yè)務(wù)時的風(fēng)險防控提出了建議。
[Abstract]:In recent years, with China's economy entering a new normal, some enterprises are in urgent need of business transformation, and the problem of financing is prominent. Stock pledge repurchase transaction is a new innovative financing method in our financial market in recent years. It means that the eligible financier pawns the shares of the listed company, integrates the funds into the eligible parties, and agrees to return the principal and interest after a certain period of time. Because it has the characteristics similar to the bank credit loan business, at the same time it has certain economic leverage function, and the financing cost is relatively low, the formalities are convenient, once launched, It is highly concerned and actively participated by all parties in the financial market. The stock pledge repurchase business is to activate the stock market of securities, activate the stock of customers' assets, and promote the development of the real economy. But it is precisely because this business is essentially a debt financing with a pledge clause that if the risk is not properly managed, it will also affect financial institutions. The financial market and even the real economy have a negative impact. At present, the financial institutions in our country generally have the problems of imperfect business risk management means and imperfect mechanism, when the credit crisis of the financier and the difficulty of realizing the pledge, etc., It will be difficult to resist the impact of the risk. How to avoid and control the risk and minimize the risk of default when developing the stock pledge repurchase business, It is of great practical significance. This research report selects one of the investors who came into contact with me during my summer internship at XY Fund Company on 2016 as the stock pledge repurchase business of Company A. I was mainly responsible for the due diligence work before the development of the business. During the period, I deeply investigated the basic situation of Company A and its pledge stocks, collected a large amount of first-hand information, and conducted research and analysis with the theoretical knowledge learned. Finally, the feasibility of business development is concluded. On the basis of this, the paper puts forward some suggestions on risk prevention and control of financial institutions in carrying out stock pledge and repurchase business in combination with the key problems encountered in the process of investigation.
