【摘要】：近年來(lái),隨著人們?nèi)粘Ｉ罘绞降木薮筠D(zhuǎn)變,互聯(lián)網(wǎng)經(jīng)濟(jì)的迅速崛起,許多企業(yè)都將目光投向了線上市場(chǎng),希望能夠在線上收獲更多的利潤(rùn),紛紛用心經(jīng)營(yíng)線上業(yè)務(wù)。由于蘇寧以前聚焦在線下的電器行業(yè),無(wú)疑使得蘇寧自我束縛,經(jīng)營(yíng)范圍受到很大限制,在當(dāng)下的經(jīng)營(yíng)環(huán)境中陷入了困境。面對(duì)如此形勢(shì),蘇寧云商公司開始戰(zhàn)略轉(zhuǎn)型,并購(gòu)了多家企業(yè),包括并購(gòu)?fù)鈬?guó)企業(yè),開啟海外擴(kuò)張;并購(gòu)母嬰電商平臺(tái),與自身的業(yè)務(wù)融合以節(jié)約時(shí)間成本;并購(gòu)視頻媒體,打造視頻購(gòu)物模式及增加搜索流量;并購(gòu)團(tuán)購(gòu)網(wǎng)站,開拓新的銷售渠道以及豐富銷售品類。這些戰(zhàn)略性轉(zhuǎn)型可以為蘇寧云商開拓出新的市場(chǎng),搶占市場(chǎng)份額,獲得利潤(rùn)。但同時(shí),其背后潛在的財(cái)務(wù)壓力與危機(jī)不可忽視,如果一直轉(zhuǎn)型而忽視公司本身的財(cái)務(wù)狀況,很可能導(dǎo)致企業(yè)資金鏈緊張,業(yè)務(wù)開展遭遇巨大阻力,戰(zhàn)略無(wú)法繼續(xù)有效實(shí)施,使企業(yè)陷入財(cái)務(wù)困境。文章對(duì)于蘇寧云商集團(tuán)股份有限公司幾項(xiàng)并購(gòu)案中應(yīng)注意的財(cái)務(wù)方面存在的潛在問(wèn)題進(jìn)行分析,并提出了建設(shè)性建議。文章主要分為七部分:第一部分為緒論,主要介紹了本文的研究背景。第二部分為相關(guān)的理論介紹。第三部分為蘇寧并購(gòu)概況,分別介紹了蘇寧近幾年的四項(xiàng)并購(gòu)案。第四部分對(duì)蘇寧云商公司的財(cái)務(wù)狀況進(jìn)行了詳細(xì)分析。第五部分為并購(gòu)給公司帶來(lái)的財(cái)務(wù)問(wèn)題,說(shuō)明由于并購(gòu)產(chǎn)生的潛在財(cái)務(wù)威脅。第六部分為財(cái)務(wù)存在問(wèn)題的解決措施,有效緩解企業(yè)財(cái)務(wù)壓力。第七部分為結(jié)束語(yǔ)。
[Abstract]:In recent years, with the great change of people's daily life style and the rapid rise of Internet economy, many enterprises have turned their eyes to the online market, hoping to gain more profits online. As SUNING focused on the line of electrical industry, no doubt SUNING self-restraint, business scope is greatly restricted. In the current business environment fell into a dilemma. In the face of such a situation, SUNING Yunshang Company began to strategic transformation, M & A of many enterprises, including mergers and acquisitions of foreign enterprises, to open up overseas expansion; Merger and acquisition of mother-to-child e-commerce platform, with their own business integration to save time costs; Merger and acquisition of video media, create video shopping mode and increase the search flow; M & A group purchase website, open up new sales channels and enrich sales categories. These strategic transformation can open up a new market for SUNING Yunshang, seize market share, gain profits, but at the same time. The potential financial pressure and crisis can not be ignored. If the financial situation of the company has been transformed and ignored, it is likely to lead to tight financial chain and great resistance to business development. The strategy can not be carried out effectively, which makes the enterprise fall into financial distress. This paper analyzes the potential financial problems in several mergers and acquisitions of SUNING Yunshang Group Co., Ltd. And put forward constructive suggestions. The article is divided into seven parts: the first part is the introduction, mainly introduces the research background of this paper. The second part is the related theoretical introduction. The third part is the general situation of SUNING M & A. Respectively introduced SUNING in recent years four mergers. 4th part of the SUNING cloud business company's financial situation was analyzed in detail. 5th part for the merger of the financial problems brought to the company. It shows that the potential financial threat caused by M & A. 6th is the solution to the financial problems and effectively alleviates the financial pressure of enterprises. 7th is the conclusion.
