【摘要】：經(jīng)過二十幾年的發(fā)展，目前中國基金市場已經(jīng)具備了一定的規(guī)模。但我國基金業(yè)在快速發(fā)展的同時也暴露出許多問題，如基金形式單一滿足不了投資者多元化的投資需求，基金治理問題層出不窮等都制約了中國基金業(yè)的進一步發(fā)展。公司型基金是國際主流的基金形式，但直到今日，我國法律仍然沒有對公司型基金進行具體規(guī)定，令人感到遺憾。本文通過對公司型基金、契約型基金治理結(jié)構(gòu)的比較研究，得出公司型基金在內(nèi)部治理方面具有優(yōu)勢，但目前基金法并未對其進行具體規(guī)定，因此需要借鑒域外典型國家發(fā)展公司型基金的先進經(jīng)驗。在借鑒外國先進經(jīng)驗的同時，本文還結(jié)合我國的實際情況對未來構(gòu)建我國公司型基金的內(nèi)部治理結(jié)構(gòu)提出自己的建議。 本文主要可分為四部分： 第一部分導(dǎo)論，包括論文的選題背景和意義，文獻綜述，，研究方法。 第二部分概括總結(jié)了公司型基金的概念和特征，通過對契約型基金和公司型基金的治理模式和法律關(guān)系進行比較分析，得出公司型基金治理模式更優(yōu)，更有利于保護投資者，因此得出因此需要對公司型基金的內(nèi)部治理進行研究。 第三部分是本文的重點，通過對域外典型國家公司型基金內(nèi)部治理結(jié)構(gòu)的比較考察，重點分析美國的獨立董事制度、英國的附加董事制度、日本的監(jiān)察人制度，得出對我國發(fā)展公司型基金的相關(guān)啟示，即應(yīng)以立法的方式引導(dǎo)公司型基金的發(fā)展，構(gòu)建公司型基金制度時應(yīng)符合本國實際，同時為其發(fā)展創(chuàng)造有利的環(huán)境。 第四部分是本文的創(chuàng)新之處，以前幾部分的概括分析為基礎(chǔ)，就我國公司型基金內(nèi)部治理結(jié)構(gòu)的制度設(shè)計提出幾點建議。本文在總結(jié)整理國內(nèi)外的相關(guān)觀點之外，提出應(yīng)當在公司型基金中設(shè)置獨立董事進行對外監(jiān)督，設(shè)置監(jiān)事會進行對內(nèi)監(jiān)督，并通過嚴格的信息披露制度和靈活有效的激勵機制對其進行內(nèi)部約束，從而改善基金治理結(jié)構(gòu)，更好的保護投資者的利益。
[Abstract]:After more than 20 years of development, China's fund market has already had a certain scale. However, the rapid development of the fund industry in China has exposed many problems, such as the single form of funds can not meet the diversified investment needs of investors. Fund governance problems in endlessly restrict the further development of China's fund industry. Corporate funds are the international mainstream fund form, but up to now, there are still no specific provisions on corporate funds in our country's laws. Through the comparative study of corporate fund and contract fund governance structure, this paper draws the conclusion that the corporate fund has advantages in internal governance, but the fund law has not specified it at present. Therefore, it is necessary to draw lessons from the advanced experience of overseas typical countries to develop corporate funds. While learning from foreign advanced experience, this paper also puts forward some suggestions for the future construction of the internal governance structure of the corporate funds in China in the light of the actual situation in our country. This paper can be divided into four parts:. The first part of the introduction, including the background and significance of the topic, literature review, research methods. The second part summarizes the concept and characteristics of the corporate fund, through the comparative analysis of the governance model and legal relationship between the contractual fund and the corporate fund, it is concluded that the corporate fund governance model is better, which is more conducive to the protection of investors. Therefore, it is necessary to study the internal governance of corporate funds. The third part is the focus of this paper, through the comparative investigation of the internal governance structure of the typical foreign countries' corporate funds, it focuses on the analysis of the independent director system in the United States, the additional director system in the United Kingdom and the supervisory system in Japan. The enlightenment to the development of corporate-type funds in China is that the development of corporate-type funds should be guided by legislation, and the system of corporate-type funds should be constructed in accordance with the reality of our country, and at the same time create a favorable environment for the development of corporate-type funds. Part 4th is the innovation of this paper. Based on the general analysis of the previous parts, this paper puts forward some suggestions on the system design of the internal governance structure of the corporate fund in China. It is suggested that independent directors should be set up in corporate funds for external supervision, and supervisory boards should be set up for internal supervision, and through strict information disclosure systems and flexible and effective incentive mechanisms, they should be subject to internal constraints. In order to improve the fund governance structure, better protection of the interests of investors.
