【摘要】：改革開放以來,浙江經(jīng)濟(jì)持續(xù)快速增長(zhǎng),這得益于浙江民營(yíng)經(jīng)濟(jì)和民間融資的蓬勃發(fā)展。但近年來,溫州借貸危機(jī)的爆發(fā)引起人們對(duì)民間融資的更多關(guān)注。由于我國(guó)民間融資市場(chǎng)規(guī)模擴(kuò)大,交易主體復(fù)雜化,傳統(tǒng)民間融資的自我實(shí)施機(jī)制失效。此時(shí),第三方實(shí)施機(jī)制一一法律制度能較好的替代原有自我實(shí)施機(jī)制。因此,對(duì)我國(guó)民間融資法制化問題的研究,是一個(gè)具有重要理論價(jià)值和現(xiàn)實(shí)意義的課題。 本文主要分為三個(gè)部分的研究。首先,通過美國(guó)和臺(tái)灣等國(guó)家地區(qū)民間融資的現(xiàn)狀研究,得出政府引導(dǎo)民間融資發(fā)展的兩種模式。在我國(guó)民間融資現(xiàn)狀闡述的基礎(chǔ)上,分析得出當(dāng)前我國(guó)民間融資原有的自我實(shí)施機(jī)制已經(jīng)無法有效引導(dǎo)民間金融的健康發(fā)展,政府亟需對(duì)民間融資進(jìn)行法制化。 其次,在機(jī)理研究部分,本文通過對(duì)民間融資自我實(shí)施機(jī)制的研究,運(yùn)用博弈模型分析有無法制下的借貸雙方行為選擇。并具體分析法律的規(guī)范作用和社會(huì)作用對(duì)民間融資的影響。再次,通過溫州和臺(tái)灣地區(qū)民間融資的案例比較研究,表明法制化能使得民間融資健康發(fā)展。 最后得出本文結(jié)論,即：民間融資法制化道路是必需、可行且有效的。在法制化建設(shè)過程中,不同組織形式需要采取不同的法制監(jiān)管路徑,較低層次的民間融資可以在確認(rèn)其合法的基礎(chǔ)上,在邊界內(nèi)不加以管制；較高層次的民間融資則可以著重考慮從民間金融市場(chǎng)準(zhǔn)入和退出制度,交易活動(dòng)監(jiān)管制度和風(fēng)險(xiǎn)監(jiān)測(cè)制度等方面進(jìn)行法制規(guī)范。
[Abstract]:Since the reform and opening up, Zhejiang's economy has continued to grow rapidly, which has benefited from the vigorous development of Zhejiang's private economy and private financing, but in recent years. The outbreak of Wenzhou loan crisis caused people to pay more attention to private financing. Because of the expansion of private financing market in our country, the transaction subject is complicated, the self-implementation mechanism of traditional private financing is invalid. At this time. The third party implementation mechanism-the legal system can better replace the original self-implementation mechanism. Therefore, the study on the legalization of private financing in China is of great theoretical value and practical significance. This paper is mainly divided into three parts of the study. First, through the United States and Taiwan and other countries and regions of the status quo of private financing research. Draw the government to guide the development of private financing two models. On the basis of the current situation of private financing in China. The analysis shows that the existing self-implementation mechanism of private financing in China has been unable to effectively guide the healthy development of private finance, and the government urgently needs to legalize private financing. Secondly, in the part of mechanism research, this paper studies the mechanism of private financing self-implementation. The game model is used to analyze the behavior choices of both parties under the legal system. And the specific analysis of the normative role of the law and the impact of the social role on private financing. Again. A comparative study of private financing in Wenzhou and Taiwan shows that legalization can make private financing develop healthily. Finally, the conclusion is drawn, that is, the road of legalization of folk financing is necessary, feasible and effective. In the process of legal construction, different organizational forms need to take different ways of legal supervision. Lower levels of private financing can be established on a legal basis and not regulated within borders; The higher level of private financing can focus on private financial market access and withdrawal system, transaction supervision system and risk monitoring system and other aspects of legal norms.
