【摘要】：商業(yè)銀行托管業(yè)務(wù)的法律依據(jù)整體上缺乏明確性和統(tǒng)一性,導(dǎo)致在業(yè)務(wù)實(shí)踐中產(chǎn)生一些未決問題。從法律依據(jù)、法律主體以及權(quán)利義務(wù)來看,對商業(yè)銀行托管業(yè)務(wù)的法律關(guān)系做統(tǒng)一定性存在障礙。在以托管人作為當(dāng)事方而簽署的協(xié)議中,主要依據(jù)當(dāng)事方主體構(gòu)成特征,可將商業(yè)銀行托管業(yè)務(wù)分為二元結(jié)構(gòu)和三元結(jié)構(gòu)。從現(xiàn)有法律環(huán)境出發(fā),除證券投資基金托管為信托關(guān)系外,其余托管業(yè)務(wù)宜界定為受國家干預(yù)的委托關(guān)系。商業(yè)銀行托管業(yè)務(wù)中的法律風(fēng)險(xiǎn)主要包括與托管人獨(dú)立性問題相關(guān)的法律風(fēng)險(xiǎn)、托管人監(jiān)督職責(zé)問題引發(fā)的法律風(fēng)險(xiǎn)和關(guān)聯(lián)關(guān)系引發(fā)的法律風(fēng)險(xiǎn)等。
[Abstract]:Trust business of commercial banks is the legal basis of the lack of clear and unified whole, resulting in some outstanding issues in practice. From the legal basis, legal rights and obligations, do exist obstacles unified on the legal relationship of trust business of commercial banks. In the custodian as the parties of the agreement signed in on the basis of the main parties, constitute the main characteristics of the trust business of commercial banks is divided into two yuan and three yuan structure structure. Starting from the current legal environment, in addition to the securities investment fund custody for the trust relationship, the hosting business should be defined as entrusted by the relationship of state intervention. The legal risk in the trust business of commercial banks mainly includes the legal risks associated with the independence of the trustee, raised questions custodian of the legal risk and supervision responsibilities related legal risk.
