【摘要】：企業(yè)兼并時ERP系統(tǒng)是最為重要的實(shí)施項(xiàng)目,透過ERP系統(tǒng)的實(shí)施可以完成企業(yè)兼并時的流程再造與訊息統(tǒng)整。以F企業(yè)兩次兼并的案例,分析企業(yè)兼并時的ERP轉(zhuǎn)換策略與實(shí)施方法,探討企業(yè)兼并時應(yīng)該選擇哪種ERP導(dǎo)入策略以符合企業(yè)兼并期待達(dá)到的綜效。F公司在五年內(nèi)經(jīng)歷了兩次的兼并。第一次是存續(xù)公司,被兼并的消滅公司N公司使用的ERP系統(tǒng)與F公司的是同一套ERP,故為同質(zhì)ERP進(jìn)行流程與數(shù)據(jù)的轉(zhuǎn)換,在項(xiàng)目實(shí)施上的步驟與方法與該套ERP由原廠自套裝導(dǎo)入比較,歸結(jié)出的差異點(diǎn)可以做為企業(yè)兼并時,不引入外部咨詢,由企業(yè)內(nèi)部人員自行重新實(shí)施ERP到消滅公司的項(xiàng)目管理參考方案。F公司在第二次兼并時為消滅公司,兼并的存續(xù)公司B公司使用的ERP為不同套產(chǎn)品,故為異質(zhì)ERP進(jìn)行流程與數(shù)據(jù)的轉(zhuǎn)換,再與第一次兼并時ERP實(shí)施的方法比較,在工具、流程、專業(yè)術(shù)語的定義上都有極大的差距,對項(xiàng)目管理帶來了較高的風(fēng)險,在導(dǎo)入方法上與第一次相較也有許多差異點(diǎn),對于異質(zhì)ERP實(shí)施到消滅公司應(yīng)考慮的關(guān)鍵點(diǎn)進(jìn)行剖析。透過分析F公司的實(shí)際案例,歸納同質(zhì)與異質(zhì)ERP的轉(zhuǎn)換實(shí)施時,項(xiàng)目管理中的風(fēng)險控管與實(shí)施步驟、方法的差異。
[Abstract]:ERP system is the most important project in the process of enterprise merger. Through the implementation of ERP system, the process reengineering and information integration can be completed. Taking the case of two mergers in F enterprise, this paper analyzes the ERP conversion strategy and implementation method in the process of enterprise merger. This paper discusses which ERP import strategy should be chosen in order to meet the expectation of enterprise merger. F company has experienced two mergers in five years. The first was a surviving company, and the merged company, company N, used the same ERP system as F's, so the process and data were converted for the homogeneous ERP. The steps and methods in the project implementation are compared with the ERP imported from the original factory, and the difference points can be used as external consulting in the merger of the enterprise. The project management reference scheme of ERP to annihilate company. F company in the second merger in order to destroy the company, the ERP used by company B, the surviving company of merger, is different sets of products, Therefore, there is a great gap in the definition of tools, processes and technical terms between the process and data conversion for heterogeneous ERP, and the comparison with the methods implemented by ERP during the first merger, which brings a higher risk to project management. There are also many differences between the imported method and the first time. The key points that should be considered in the implementation of heterogeneous ERP and the elimination of the company are analyzed. By analyzing the actual cases of company F, the differences of risk control and implementation steps in project management during the conversion between homogeneous and heterogeneous ERP are summarized.
