盈天醫(yī)藥并購?fù)瑵?jì)堂企業(yè)文化整合案例分析

【摘要】:隨著全球化的浪潮,越來越多的企業(yè)開始選擇通過并購的方式來實(shí)現(xiàn)業(yè)績的高成長。然而,令人遺憾的是,市場成功的并購并不多見。相關(guān)統(tǒng)計(jì)資料表明,70%的并購從長遠(yuǎn)來看都是失敗的,導(dǎo)致失敗的原因很多,其中最重要的原因就是并購后的文化整合的問題。 盈天醫(yī)藥是由中國最大的健康產(chǎn)業(yè)集團(tuán)—中國醫(yī)藥集團(tuán)總公司控股的大型綜合性現(xiàn)代醫(yī)藥企業(yè),在香港聯(lián)合交易所主板上市的上市公司。盈天醫(yī)藥在2013年下半年對貴州同濟(jì)堂進(jìn)行并購,并開始進(jìn)行企業(yè)文化整合。文化整合到2013年10月份完成第一階段,整合過程中,整個(gè)公司人員基本穩(wěn)定,業(yè)績平穩(wěn)增長,整合效果良好,成為2013年國內(nèi)醫(yī)藥企業(yè)整合的成功案例。 本文在論述國內(nèi)外關(guān)于企業(yè)文化及文化整合的相關(guān)理論和實(shí)踐經(jīng)驗(yàn)基礎(chǔ)上,通過文獻(xiàn)分析,,案例分析的方法,研究盈天醫(yī)藥并購?fù)瑵?jì)堂的文化整合過程。對其文化整合的成功的因素進(jìn)行總結(jié),總結(jié)出了并購前并購對象文化了解和評估;文化整合的模式和具體方案;高層重視行動迅速;建立良好、溝通的平臺;持續(xù)傳遞正能量這五個(gè)影響文化整合成功的因素。目前,國內(nèi)企業(yè)的并購越來越頻繁,醫(yī)藥企業(yè)更是身處并購的大潮之中,希望本文能夠?qū)τ谥袊髽I(yè)特別是醫(yī)藥企業(yè)在未來并購中的企業(yè)文化整合提供可以借鑒的個(gè)案材料和成功經(jīng)驗(yàn)。
[Abstract]:With the tide of globalization, more and more enterprises begin to adopt M & A to achieve high performance. Unfortunately, however, successful mergers and acquisitions are rare. The related statistics show that 70% of M & A is failed in the long run, and there are many reasons for failure, the most important of which is the cultural integration after M & A. Yingtian Pharmaceutical is a large comprehensive modern pharmaceutical company controlled by China National Pharmaceutical Group Corporation, the largest health industrial group in China. It is listed on the main board of the Stock Exchange of Hong Kong. In the second half of 2013, Yingtian Medicine merged with Jitang in Guizhou, and began to integrate corporate culture. The first stage of cultural integration was completed in October, 2013. In the process of integration, the whole company is basically stable, its performance grows steadily, and the integration effect is good. It has become a successful case of domestic pharmaceutical enterprises' integration in 2013. Based on the theory and practice of corporate culture and cultural integration at home and abroad, this paper studies the process of cultural integration of Yingtian Medical merger and acquisition by means of literature analysis and case analysis. The successful factors of its cultural integration are summarized, and the cultural understanding and evaluation of the M & A object before M & A; the mode and concrete scheme of cultural integration are summarized; the high level attaches great importance to the action quickly; the platform of good communication is established; Continuous transfer of positive energy these five factors affecting the success of cultural integration. At present, mergers and acquisitions of domestic enterprises are becoming more and more frequent, and pharmaceutical enterprises are in the midst of a tide of mergers and acquisitions. It is hoped that this paper can provide the case material and successful experience for Chinese enterprises, especially pharmaceutical enterprises, in the integration of corporate culture in future mergers and acquisitions.
