論電子商務(wù)合同效力及其立法完善

【摘要】:近年來,中國(guó)的電子商務(wù)快速發(fā)展,交易額連創(chuàng)新高,2010年中國(guó)電子商務(wù)市場(chǎng)交易額達(dá)4.5萬(wàn)億元人民幣,而2011年僅上半年電子商務(wù)交易總額就已達(dá)去年70%。隨著電子商務(wù)在各領(lǐng)域的應(yīng)用不斷拓展和深化,由于電子商務(wù)合同的特殊性及相關(guān)法律的缺失,新型電子商務(wù)合同在實(shí)務(wù)中問題凸顯。本文主要通過對(duì)電子商務(wù)合同效力內(nèi)容的分析,總結(jié)出電子商務(wù)合同在發(fā)展中存在的問題,并針對(duì)該問題提出解決方案,以其為研究者提供參考。 本文以引言引出研究?jī)?nèi)容,提出研究的背景及研究中參考的主要文獻(xiàn)等內(nèi)容。除引言和結(jié)論部分外,共分為五章,主要結(jié)構(gòu)如下: 第一章從電子商務(wù)合同的含義入手,運(yùn)用對(duì)比分析的研究方法,比較中外電子商務(wù)合同的內(nèi)涵及立法例,推出本文理解的電子商務(wù)合同的含義;同時(shí)以電子商務(wù)合同主體、內(nèi)容、締約環(huán)境、傳遞速度、安全保障體系五方面與傳統(tǒng)合同相比較,體現(xiàn)其獨(dú)特之處。 第二章主要分析了電子商務(wù)合同的成立。電子商務(wù)合同從本質(zhì)上看仍然是合同,但其訂立方式、傳播手段、傳播的工具等都與傳統(tǒng)合同有著很大的差別,所以本章以合同訂立的過程為主線,分析探討電子商務(wù)合同要約、承諾及合同成立時(shí)間地點(diǎn)的特殊性。 第三章是本文的核心章節(jié),主要是對(duì)電子合同效力的探究。從合同效力的一般規(guī)定入手,以電子商務(wù)合同的主體資格、形式要件、電子意思表示三方面探討電子商務(wù)合同生效的條件開始,逐一分析比對(duì)四種電子商務(wù)合同生效中的特殊情況,它們分別是:電子自動(dòng)交易對(duì)電子商務(wù)合同效力的影響、電子錯(cuò)誤對(duì)電子商務(wù)合同效力的影響、電子商務(wù)合同效力待定、無(wú)效、可撤銷的情況以及電子商務(wù)格式合同(即點(diǎn)擊合同)的效力。 第四章是在前三章分析的基礎(chǔ)上,提出電子商務(wù)在當(dāng)今科技條件下發(fā)展中存在的三方面問題,分別是:合同主體訂約能力問題、合同主體意思表示是否真實(shí)問題及這種特殊合同是否具備傳統(tǒng)書面合同紙質(zhì)形式法律效力問題。 第五章是針對(duì)第四章問題的分析,從三個(gè)方面提出問題的解決之道。主要是通過電子簽名立法、數(shù)據(jù)電文立法、電子認(rèn)證立法等手段,建立并完善電子商務(wù)法律、法規(guī)。此外,對(duì)電子商務(wù)合同的當(dāng)事人:運(yùn)營(yíng)商及消費(fèi)者分別提供不同的法律保護(hù)措施。
[Abstract]:In recent years, China's e-commerce has developed rapidly, with a record volume of transactions. In 2010, the volume of e-commerce transactions in China reached 4.5 trillion yuan, while the total volume of e-commerce transactions in the first half of 2011 reached 70 yuan last year. With the continuous development and deepening of the application of electronic commerce in various fields, because of the particularity of electronic commerce contract and the lack of relevant laws, the problems of new electronic commerce contract in practice are prominent. Based on the analysis of the validity of electronic commerce contracts, this paper summarizes the problems existing in the development of electronic commerce contracts, and puts forward a solution to this problem, which can be used as a reference for researchers. In this paper, the introduction leads to the contents of the research, the background of the research and the main references in the research. In addition to the introduction and conclusion, it is divided into five chapters, the main structure is as follows: the first chapter from the meaning of e-commerce contracts, using the comparative analysis of research methods, compared the meaning of e-commerce contracts between China and foreign countries and legislative examples. The meaning of the electronic commerce contract understood in this paper is put forward, and its unique features are reflected in five aspects: the subject, the content, the contracting environment, the transmission speed and the safety guarantee system of the electronic commerce contract, which are compared with the traditional contract at the same time. The second chapter mainly analyzes the establishment of e-commerce contract. The electronic commerce contract is still a contract in essence, but the way of conclusion, the means of communication, the means of communication and so on are all very different from the traditional contract, so this chapter takes the process of contract conclusion as the main line. This paper analyzes and discusses the particularity of the offer, acceptance and the time and place of establishment of the e-commerce contract. The third chapter is the core chapter of this paper, mainly to explore the effectiveness of electronic contracts. Starting with the general provisions of the validity of the contract, starting with the qualification of the subject of the electronic commerce contract, the formal elements and the expression of electronic will, the paper discusses the conditions for the entry into force of the electronic commerce contract. This paper analyzes and compares the special cases of four kinds of electronic commerce contracts. They are: the effect of electronic automatic transaction on the validity of electronic commerce contracts, the influence of electronic errors on the effectiveness of electronic commerce contracts, and the validity of electronic commerce contracts to be determined. Invalidity, revocability and validity of e-commerce format contracts (i.e. click contracts). On the basis of the analysis of the first three chapters, the fourth chapter puts forward three problems in the development of electronic commerce under the condition of science and technology, namely, the contracting ability of the contract subject. Whether the subject of contract is true or not and whether the special contract has the legal effect of traditional written contract in paper form. The fifth chapter is the analysis of the fourth chapter, from three aspects of the solution to the problem. Mainly through electronic signature legislation, data message legislation, electronic authentication legislation and other means, the establishment and improvement of electronic commerce laws and regulations. In addition, the parties to e-commerce contracts: operators and consumers provide different legal protection measures.
