美國第三方支付法律制度研究

【摘要】:支付體系是現(xiàn)代市場經(jīng)濟和金融活動的重要部分,安全高效的支付體系經(jīng)濟是金融持續(xù)健康發(fā)展的重要保證。近年來,我國的第三方支付以非?焖俚内厔莅l(fā)展,其業(yè)務(wù)的領(lǐng)域和規(guī)模也不斷地擴大,第三方支付與金融活動有了更為緊密的聯(lián)系,在我國經(jīng)濟活動中也日益有著更為突出的重要性。我們知道,美國第三方支付的發(fā)展由來已久,美國第三方支付對消費者權(quán)益保護、市場準(zhǔn)入、反洗錢、存款保險等方面的法律制度方面有著較為完備的立法。而中國專門針對第三方支付機構(gòu)的立法也僅僅只有2010年發(fā)布的《非金融機構(gòu)支付管理辦法》和2015年12月28日最新出臺的《非銀行支付機構(gòu)網(wǎng)絡(luò)支付管理辦法》,而第三方支付在相關(guān)法律的適用和監(jiān)管方面則更多地是參照適用其他有關(guān)銀行或金融機構(gòu)的法律。而事實上,隨著電子商務(wù)的發(fā)展和第三方支付與日俱增的市場需求,以及第三方支付本身存在的種種問題,例如,法律對消費者的合法權(quán)益保護力度不夠、第三方支付機構(gòu)本身的監(jiān)管薄弱、不法分子利用第三方支付進行洗錢等,中國急需相關(guān)的法律對第三方支付領(lǐng)域進行規(guī)范。鑒于美國第三方支付機構(gòu)的法律地位的不明確性給法律適用所帶來的困難,本文首先對第三方支付進行了理論上簡單的分析,在此基礎(chǔ)之上,就第三方支付機構(gòu)的地位給出筆者的見解。并對美國第三方支付針對消費者權(quán)益保護中消費者的責(zé)任、知情權(quán)及隱私權(quán)進行了分析,并指出美國在消費者保護中法律適用的不足。其次,筆者還通過對美國反洗錢法律制度的研究,試探究美國第三方支付領(lǐng)域中金融機構(gòu)的報告義務(wù)及違反相關(guān)法律的程序上的規(guī)定和美國對第三方支付領(lǐng)域反洗錢立法的突破。此外,對市場準(zhǔn)入中有關(guān)未授權(quán)的資金轉(zhuǎn)移業(yè)務(wù)許可證的規(guī)范和美國的存款保險制度及過橋保險制度進行了較為深入的研究。通過對美國法律制度的研究,以期對中國的第三方支付的立法提供一些參考。
[Abstract]:Payment system is an important part of modern market economy and financial activities. A safe and efficient payment system economy is an important guarantee for the sustained and healthy development of finance. In recent years, the third party payment in our country has been developing very fast, and the scope and scale of its business has been expanding constantly, and the third party payment has more close relation with the financial activities. In our country economic activity also has more and more prominent importance day by day. We know that the development of third-party payment in the United States has a long history. The third party payment in the United States has relatively complete legislation on the protection of consumer rights and interests, market access, anti-money-laundering, deposit insurance and other aspects of the legal system. However, China's legislation specifically targeting third-party payment institutions is only the one issued in 2010 and the latest on December 28, 2015, the Network payment Management measures for Non-Bank payment institutions. Third party payments are more likely to refer to the laws applicable to banks or financial institutions in relation to the application and regulation of relevant laws. In fact, with the development of electronic commerce and the increasing market demand for third-party payment, and the problems of third-party payment itself, for example, the law does not protect consumers' legitimate rights and interests sufficiently. The third party payment organization itself is weak, the illegal elements use the third party payment to carry on the money laundering and so on, China urgently needs the related law to regulate the third party payment domain. In view of the difficulties in the application of the law caused by the uncertainty of the legal status of the third party payment institution in the United States, this paper first makes a simple theoretical analysis of the third party payment, on the basis of which, This paper gives the author's opinion on the status of the third party payment institution. This paper also analyzes the responsibility, the right to know and the right to privacy of consumers in the protection of consumers' rights and interests by third party payment in the United States, and points out the deficiencies in the application of the law in the protection of consumers in the United States. Secondly, the author also studies the anti-money laundering legal system of the United States. This paper attempts to explore the reporting obligations of financial institutions in the field of third-party payment in the United States and the procedural provisions of violating relevant laws and the breakthrough of anti-money-laundering legislation in the field of third-party payment in the United States. In addition, the regulations of unauthorized fund transfer license in market access and the deposit insurance system and bridge insurance system in the United States are studied deeply. Through the study of the American legal system, the author hopes to provide some references to the legislation of third party payment in China.
