【摘要】：電子商務(wù)主體的注冊(cè)登記是電子商務(wù)法立法中極具爭(zhēng)議的核心問題,基于商事登記在商事主體身份和資格賦予、商事主體經(jīng)營(yíng)狀況和能力公示、降低交易成本、增進(jìn)交易安全以及便利國(guó)家對(duì)商事主體管理等功能價(jià)值考量,難有理由放棄對(duì)電子商務(wù)經(jīng)營(yíng)主體的登記要求。電子商務(wù)的網(wǎng)絡(luò)交易環(huán)境不僅不是排斥主體登記程序之理由,相反恰是支持主體登記程序之特殊根據(jù)。為了易辨識(shí)、可溯源、能追責(zé)的交易安全目的,個(gè)人網(wǎng)店也不應(yīng)該游離于注冊(cè)登記程序之外。電子商務(wù)的效率與成本有著復(fù)雜的構(gòu)成,登記程序并非降低其效率而是提高效率,并非增加其成本而是降低成本。第三方平臺(tái)的登記管理可以與工商登記互補(bǔ),但不能完全替代。對(duì)主體登記的排斥和否定很大程度上源自對(duì)市場(chǎng)監(jiān)管的偏見,應(yīng)理性認(rèn)識(shí)工商登記的法律性質(zhì)和法律功能,防止和糾正過分強(qiáng)調(diào)和追求自由的情緒化傾向。
[Abstract]:The registration and registration of the subject of electronic commerce is a very controversial issue in the legislation of electronic commerce law. Based on the status and qualification of the subject of commercial registration, the operating status and ability of the subject of commercial affairs are publicized, and the transaction cost is reduced.It is difficult to give up the registration requirement of the electronic commerce subject because of the consideration of the function value such as enhancing the transaction security and facilitating the state to manage the commercial subject.The electronic commerce network transaction environment is not only not the reason to exclude the subject registration procedure, but also the special basis to support the subject registration procedure.In order to be easy to identify, traceable, and responsible for the purpose of transaction security, personal online stores should not dissociate from the registration process.The efficiency and cost of electronic commerce are complicated. The registration procedure is not to reduce its efficiency but to improve its efficiency, not to increase its cost but to reduce its cost.Third-party platform registration management and business registration can complement each other, but can not be completely replaced.To a great extent, the exclusion and negation of the subject registration result from the prejudice to the market supervision. We should rationally understand the legal nature and the legal function of the industrial and commercial registration, and prevent and correct the emotional tendency of overemphasizing and pursuing freedom.
