【摘要】：隨著我國(guó)網(wǎng)絡(luò)技術(shù)的迅猛發(fā)展,各色新鮮的網(wǎng)絡(luò)交易平臺(tái)不斷涌現(xiàn),網(wǎng)絡(luò)商行為隨之迅速滲入到人們生活中的方方面面,便利了人們的生活,促進(jìn)著經(jīng)濟(jì)的發(fā)展。但同時(shí)因?yàn)槠浒l(fā)展迅速,網(wǎng)絡(luò)商行為中出現(xiàn)的種種問題被不斷放大并對(duì)我國(guó)的經(jīng)濟(jì)環(huán)境和人們的生活造成了惡劣的影響。從整體上講,在研究網(wǎng)絡(luò)商行為制度這一領(lǐng)域,我國(guó)的理論研究尚處于相對(duì)落后態(tài)勢(shì),例如網(wǎng)絡(luò)交易雙方平臺(tái)提供商的權(quán)利義務(wù)、交易程序及解決糾紛等機(jī)制都處于空白階段;從立法上講,我國(guó)目前的立法并不能適應(yīng)網(wǎng)絡(luò)商行為的發(fā)展,我國(guó)規(guī)制網(wǎng)絡(luò)商行為中產(chǎn)生的糾紛主要是通過零星分布在其他法律和規(guī)章之中的規(guī)則來解決。這些法律雖能有效地處理傳統(tǒng)的商事行為,但對(duì)網(wǎng)絡(luò)商行為而言,其針對(duì)性差、規(guī)范不完整、內(nèi)容過于簡(jiǎn)單、缺乏實(shí)際的可操作性�，F(xiàn)行于我國(guó)的網(wǎng)絡(luò)商行為制度基本難以滿足網(wǎng)絡(luò)市場(chǎng)中日益發(fā)展迅猛的網(wǎng)絡(luò)商行為制度繼續(xù)向前發(fā)展的需要。我國(guó)目前網(wǎng)絡(luò)商行為制度依然處于不健全的階段,使得網(wǎng)絡(luò)經(jīng)營(yíng)者和消費(fèi)者的權(quán)利得不到應(yīng)有的保護(hù),同時(shí)網(wǎng)絡(luò)交易平臺(tái)提供商的地位也沒有受到應(yīng)有的重視,所以造成了我國(guó)網(wǎng)絡(luò)商行為制度中問題重重。本文將從以下四個(gè)廣泛存在于我國(guó)的制度問題出發(fā)進(jìn)行論文的寫作,第一,網(wǎng)絡(luò)商行為主體資格之問題;第二,網(wǎng)絡(luò)商行為合同規(guī)范問題;第三,網(wǎng)絡(luò)商行為信用制度問題;第四,網(wǎng)絡(luò)商行為責(zé)任制度問題。以上問題對(duì)我國(guó)網(wǎng)絡(luò)經(jīng)濟(jì)市場(chǎng)的環(huán)境造成了破壞,影響了網(wǎng)絡(luò)經(jīng)濟(jì)的健康發(fā)展。.因此,無(wú)論是對(duì)我國(guó)的經(jīng)濟(jì)生活的健康發(fā)展,還是對(duì)網(wǎng)絡(luò)交易糾紛的解決,對(duì)商法規(guī)制網(wǎng)絡(luò)商行為的研究是有其必要性的。本文以我國(guó)網(wǎng)絡(luò)商行為制度出發(fā),發(fā)現(xiàn)其所存在的問題,并參考其實(shí)踐運(yùn)行的個(gè)案,通過比較分析法對(duì)聯(lián)合國(guó)、美國(guó)和日本規(guī)制網(wǎng)絡(luò)商行為的相關(guān)法律條文進(jìn)行分析和評(píng)價(jià),提煉其中能為我國(guó)所適用的先進(jìn)經(jīng)驗(yàn);利用文獻(xiàn)分析法、實(shí)踐證明法等研究方法對(duì)選題進(jìn)行探討與分析,對(duì)規(guī)制網(wǎng)絡(luò)商行為的商法制度提供了具體的制度建議,以使所提供的理論成果能有效應(yīng)用在我國(guó)目前的制度建設(shè)中。通過對(duì)我國(guó)網(wǎng)絡(luò)商行為的行為主體制度、合同制度、信用制度、責(zé)任制度、保障制度以及現(xiàn)實(shí)個(gè)案的分析等方面進(jìn)行了學(xué)習(xí)與研究,了解我國(guó)網(wǎng)絡(luò)商行為制度的理論機(jī)理與實(shí)踐基礎(chǔ),掌握其屬性與特征,結(jié)合我國(guó)國(guó)情和網(wǎng)絡(luò)經(jīng)濟(jì)環(huán)境,以期探究出我國(guó)在該范圍制度的缺陷和完善方向。
[Abstract]:With the rapid development of network technology, all kinds of fresh online trading platform for businesses continue to emerge, network rapidly penetrated into every aspect of people's lives, to facilitate the people's livelihood, promote the development of economy. But at the same time because of its rapid development, various problems in the network's behavior has been continuously enlarged and on China's economic environment and people's life caused a bad influence. On the whole, in the field of network business behavior system, theoretical research in China is still in a relatively backward situation, such as the network transaction platform provider of the rights and obligations of the transaction procedure and dispute settlement mechanism in the blank stage; from the legislative perspective, the current legislation does not adapt to the development of our country's network behavior, produce business behavior in our country in the regulation of network disputes mainly through scattered in other laws and regulations The chapter of the rules to solve. These laws can effectively deal with the traditional commercial behavior, but on the network's behavior, the targeted poor, regulation is not complete, the content is too simple, lack of practical operability. The current system of network business behavior in China basic to full development system of network operators the behavior of rapid development to continue full network market. China's current network business behavior system still is in not perfect stage, the network operators and consumers' rights cannot be protected, while the network trading platform provider status has not received due attention, so causing the problem's behavior in our country network the system is heavy. This paper from the following four widely exist in our country's system of writing of this thesis, first, taking network behavior subject qualification; second, the network's behavior The contract specification problem; third, the network's behavior in credit system; fourth, the network's behavior responsibility system. The above problems of economic market of our country network causing damage to the environment, affecting the healthy development of the network economy. Therefore, both for the healthy development of China's economic life, or the network transaction disputes study on the behavior of commercial law, business regulation network is necessary. In this paper, taking behavior of our network system, find the existing problems, and the reference case of practice, through the comparative analysis of the United Nations, analysis and evaluation of the relevant legal provisions of the United States and Japan's regulation of network behavior the advanced experience which can refine our application; using the method of literature analysis, methods for discussion and Analysis on the topic of practice, regulation of network behavior of the commercial law system. The system for specific suggestions, so as to provide the theoretical results can be effectively applied in the system construction in our country at present. Based on the business behavior of China's network behavior subject system, contract system, credit system, responsibility system, analysis, security system and the reality of the case surface by study and research, understand the theory and practice of the basic mechanism of taking behavior of our network system, grasp its attributes and characteristics, combined with China's national conditions and the environment of network economy, in order to explore China's flaws in the scope of the system and improve the direction.
