環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資法律問(wèn)題研究

【摘要】:我國(guó)的工業(yè)化進(jìn)程,是以環(huán)境為代價(jià)的,目前我國(guó)城市普遍出現(xiàn)了各種各樣的環(huán)境問(wèn)題。2015年4月27日,國(guó)務(wù)院下屬六部門(mén)出臺(tái)了《基礎(chǔ)設(shè)施和公用事業(yè)特許經(jīng)營(yíng)管理辦法》,明確了民間機(jī)構(gòu)可以參與到上述產(chǎn)業(yè)中來(lái),其中包括了環(huán)保產(chǎn)業(yè)。但是由于環(huán)保產(chǎn)業(yè)的經(jīng)營(yíng)模式與一般產(chǎn)業(yè)不同,利潤(rùn)相對(duì)比較低,運(yùn)營(yíng)風(fēng)險(xiǎn)比較大,并且《基礎(chǔ)設(shè)施和公用事業(yè)特許經(jīng)營(yíng)管理辦法》中的鼓勵(lì)措施由于法律效力低、操作性不強(qiáng)等原因,導(dǎo)致環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目在實(shí)際的運(yùn)營(yíng)中會(huì)出現(xiàn)困難。為了解決上述問(wèn)題,本文從法律視角出發(fā),以特許經(jīng)營(yíng)項(xiàng)目的融資為切入點(diǎn),對(duì)上述問(wèn)題進(jìn)行深入探討,以期達(dá)到解決上述問(wèn)題,規(guī)范環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資,推進(jìn)環(huán)保產(chǎn)業(yè)發(fā)展的目的。本文從行文結(jié)構(gòu)上來(lái)看分為四個(gè)章節(jié)。第一章是環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資概述。本章首先從環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資的背景進(jìn)行基本介紹。其次對(duì)環(huán)保產(chǎn)業(yè)與項(xiàng)目融資的概念與特征、特許經(jīng)營(yíng)與政府與社會(huì)資本合作(PPP)的概念做了系統(tǒng)闡述。最后總結(jié)環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資的概念。通過(guò)本章的闡述,對(duì)環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資有了一個(gè)清晰的認(rèn)識(shí)。第二章是環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資的法律分析,本章對(duì)環(huán)保產(chǎn)業(yè)項(xiàng)目融資的具體安排、環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資模式的選擇以及環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)的關(guān)鍵協(xié)議的性質(zhì),從法律角度進(jìn)行了系統(tǒng)的分析。通過(guò)本章的分析,明確了環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資中需要注意的關(guān)鍵點(diǎn),為第三章總結(jié)環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資的問(wèn)題作了鋪墊。第三章是環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資的問(wèn)題。本章分析了環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資存在法律規(guī)范不完善、政府公信力不足、盈利模式存在弊端、爭(zhēng)端解決機(jī)制不明確等問(wèn)題。因此為了促進(jìn)環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資的健康發(fā)展,就必須解決上述問(wèn)題。第四章是環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資的完善建議,本章針對(duì)第三章的問(wèn)題提出了為順利進(jìn)行環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資所需要進(jìn)行的法律措施以及其他建議。首先從完善基礎(chǔ)設(shè)施與公用事業(yè)特許經(jīng)營(yíng)法律制度、金融法律與特許經(jīng)營(yíng)法律制度的良好銜接兩個(gè)方面來(lái)完善環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目融資的法律規(guī)范;其次從轉(zhuǎn)變政府職能、建立政府信用制度以及完善環(huán)境公眾參與制度三個(gè)方面來(lái)提升政府的公信力;再次從完善相關(guān)環(huán)保產(chǎn)業(yè)收費(fèi)制度以增加特許經(jīng)營(yíng)項(xiàng)目的收入和降低環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)項(xiàng)目的成本兩個(gè)方面來(lái)固化環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)的盈利模式;最后從立法確定協(xié)商后的爭(zhēng)端解決方式、完善審理特許經(jīng)營(yíng)協(xié)議的民事訴訟制度和完善特許經(jīng)營(yíng)協(xié)議的仲裁制度來(lái)補(bǔ)足環(huán)保產(chǎn)業(yè)特許經(jīng)營(yíng)的爭(zhēng)端解決機(jī)制。
[Abstract]:The industrialization of our country is at the cost of the environment. At present, there are a wide variety of environmental problems in our cities. April 27, 2015, Six departments under the State Council have issued the "measures for the Management of Infrastructure and Public Utilities", making it clear that private organizations can participate in these industries, including the environmental protection industry. However, because the business model of the environmental protection industry is different from that of the general industry, the profits are relatively low, the operation risks are relatively large, and the incentives in the "measures for the franchise Management of Infrastructure and Public Utilities" are low due to the legal effectiveness. It is difficult to operate the environmental protection industry franchising project because of its low maneuverability. In order to solve the above problems, this paper takes the financing of franchising projects as the starting point from the perspective of law, and probes into the above problems in order to solve the above problems and standardize the financing of environmental protection industry franchising projects. The purpose of promoting the development of environmental protection industry. This paper is divided into four chapters from the structure. The first chapter is the environmental protection industry franchise project financing outline. This chapter firstly introduces the background of environmental industry franchising project financing. Secondly, the concept and characteristics of environmental protection industry and project financing, the concept of franchise and cooperation between government and social capital (PPP) are expounded systematically. Finally, the concept of environmental industry franchising project financing is summarized. Through the elaboration of this chapter, there is a clear understanding of environmental industry franchising project financing. The second chapter is the legal analysis of environmental protection industry franchising project financing, this chapter is about the specific arrangement of environmental protection industry project financing, the choice of environmental protection industry franchise project financing mode and the nature of the key agreement of environmental protection industry franchise. A systematic analysis is made from the point of view of law. Through the analysis of this chapter, the key points that should be paid attention to in the financing of environmental protection industry franchising project are clarified, which pave the way for the third chapter to sum up the problems of environmental protection industry franchise project financing. The third chapter is the environmental protection industry franchise project financing problem. This chapter analyzes the problems of environmental protection industry franchising project financing, such as imperfect legal norms, lack of credibility of government, malpractice of profit model, unclear dispute settlement mechanism, etc. Therefore, in order to promote the healthy development of environmental industry franchising project financing, we must solve the above problems. The fourth chapter is the environmental protection industry franchising project financing consummation suggestion, this chapter has proposed the legal measures and other suggestions to carry on the environmental protection industry franchise project financing smoothly to the third chapter question. First of all, from the two aspects of perfecting the legal system of infrastructure and public utilities franchise, and the good connection of financial law and franchise legal system, to perfect the legal norms of environmental protection industry franchising project financing; secondly, from the transformation of government functions, Establishing the government credit system and perfecting the environmental public participation system to enhance the credibility of the government; Thirdly, the profit model of environmental protection industry is solidified from two aspects: perfecting the charge system of environmental protection industry in order to increase the income of the franchise project and reduce the cost of the franchise project of the environmental protection industry; Finally, from legislation to determine the way of dispute settlement after consultation, to perfect the civil litigation system of franchise agreement and the arbitration system of franchise agreement to complement the dispute settlement mechanism of environmental protection industry franchise.
