【摘要】：改組組建國(guó)有資本投資運(yùn)營(yíng)公司是深化國(guó)有企業(yè)改革的重要內(nèi)容,也是推進(jìn)國(guó)有企業(yè)混合所有制改革的重要途徑。本文通過梳理現(xiàn)有國(guó)內(nèi)外資產(chǎn)管理模式、股權(quán)結(jié)構(gòu)與公司績(jī)效等研究成果,深入分析了改組組建國(guó)有資本投資運(yùn)營(yíng)公司的必要性,創(chuàng)新性地提出以人格化積極股東塑造為核心的國(guó)有資本投資運(yùn)營(yíng)公司的構(gòu)建模式,并對(duì)其運(yùn)行機(jī)制進(jìn)行了詳盡解析,對(duì)重塑國(guó)有資產(chǎn)監(jiān)督管理委員會(huì)、國(guó)有資本投資運(yùn)營(yíng)公司及其下屬成員公司三者之間新型委托—代理關(guān)系有重要意義。
[Abstract]:The reorganization and establishment of state-owned capital investment and operation company is an important content of deepening the reform of state-owned enterprises and an important way to promote the reform of mixed ownership of state-owned enterprises. Equity structure and corporate performance research results, in-depth analysis of the reorganization of state-owned capital investment and operation of the necessity of the company. Innovatively put forward the construction mode of state-owned capital investment and operation company with personalization active shareholders as the core, and analyze its operating mechanism in detail, and remodel the state-owned assets supervision and management committee. The new principal-agent relationship between state-owned capital investment and operation company and its members is of great significance.
