一、引言隨著全球經(jīng)濟一體化愈演愈烈,海外上市早已不是一個新話題,但仍然是一個非常吸引人的話題。近年來隨著金融市場的國際化和金融工具的多樣化,融資渠道表現(xiàn)的越來越廣泛。在所有的融資渠道里,海外上市依然是一個最為典型的手段。特別需要指出的是,越來越多的發(fā)展中國家正逐步參與海外上市的大趨勢。然而,這其中不僅有成功的例子,而且也有許多不成功的例子。由于無數(shù)參與者的參與和世界大舞臺的統(tǒng)一,海外上市的動機變得越來越復(fù)雜,因此,海外上市其結(jié)果也變得多樣化。本文選擇兩個具有不同背景和不同發(fā)展水平的不同國家作為主要研究目標(biāo):中國和意大利,其中一個代表亞洲發(fā)展中國家,另一個代表西方發(fā)達國家。作為本文的必要背景,本文選取了四個在本文研究范圍內(nèi)的發(fā)揮重要作用的證券交易所:上海證券交易所,香港證券交易所,意大利證券交易所和紐約證券交易所。本文將不同的證券交易所的上市要求和公司的履行義務(wù)進行比較,試圖總結(jié)出這兩個因素對上市公司的影響。然后,本研究著重研究并指出兩國企業(yè)在海外上市的動機,這其中包括影響兩國企業(yè)海外上市的動因的相同點和不同點。最后是案例分析,兩個案例分別是意大利電信和中國移動。文章的這部分進一步用數(shù)據(jù)...
