【摘要】：財務(wù)困境指企業(yè)無力償還到期債務(wù)或不能支付各項費用的一種經(jīng)濟現(xiàn)象。一旦企業(yè)陷入財務(wù)困境，，將嚴(yán)重制約其正常經(jīng)營活動和發(fā)展能力，也會對利益相關(guān)者的價值產(chǎn)生不利影響。隨著我國經(jīng)濟市場化的不斷深入，企業(yè)之間的競爭越發(fā)激烈，企業(yè)陷入財務(wù)困境的風(fēng)險不斷上升。因此，本文以ST上市公司為研究對象，深入分析其陷入財務(wù)困境的原因，探索如何采取有效措施擺脫財務(wù)困境，以及評價ST上市公司財務(wù)困境解決方法的實施效果，具有一定的理論與現(xiàn)實意義。 本文首先對財務(wù)困境的概念進行界定，并介紹財務(wù)困境相關(guān)理論基礎(chǔ)。然后對我國ST上市公司的現(xiàn)狀進行了分析，探討了導(dǎo)致ST上市公司陷入財務(wù)困境的內(nèi)外部原因，評價了收購兼并、資產(chǎn)剝離、股權(quán)轉(zhuǎn)讓、債務(wù)重組、資產(chǎn)置換等ST上市解決公司財務(wù)困境的主要方法，最后對ST上市公司財務(wù)困境解決方法的實施效果進行實證研究。 在實證研究部分，本文選取滬深兩市2007-2008年實施解困方法的63家ST上市公司組成研究樣本，分別采用事件分析方法和財務(wù)分析方法對ST上市公司財務(wù)困境的解決方法效果進行實證檢驗。實證研究結(jié)果表明：ST上市公司財務(wù)困境的解決方法在短期內(nèi)能夠提高企業(yè)的經(jīng)營業(yè)績和財務(wù)指標(biāo)，對ST上市公司擺脫財務(wù)困境起到了一定的效果。
[Abstract]:Financial distress refers to an economic phenomenon in which an enterprise is unable to pay its due debts or expenses. Once an enterprise falls into financial distress, it will seriously restrict its normal business activities and development ability, and will also have a negative impact on the value of stakeholders. With the deepening of China's economic marketization, the competition between enterprises becomes more and more fierce, and the risk of enterprises falling into financial distress is rising. Therefore, taking the listed company of ST as the research object, this paper deeply analyzes the reasons of its falling into financial distress, explores how to take effective measures to get rid of the financial distress, and evaluates the implementation effect of the solution to the financial distress of the listed company of ST. It has certain theoretical and practical significance. This paper first defines the concept of financial distress, and introduces the theoretical basis of financial distress. Then it analyzes the current situation of ST listed companies in China, probes into the internal and external reasons that lead to the financial distress of ST listed companies, and evaluates the acquisition and merger, the divestiture of assets, the transfer of stock rights, the restructuring of debts, and so on. The main methods to solve the financial distress of ST listed companies, such as asset exchange, are discussed. Finally, an empirical study is made on the implementation effect of the financial distress solutions of ST listed companies. In the part of empirical research, 63 ST listed companies in Shanghai and Shenzhen stock markets from 2007 to 2008 are selected to form research samples. Event analysis method and financial analysis method are used to test the effect of solving financial distress of ST listed companies. The results of empirical research show that the solution to financial distress of ST listed companies can improve their operating performance and financial index in a short period of time, and it has a certain effect on ST listed companies to get rid of financial distress.
