【摘要】：股權結構是公司治理制度安排對外部環(huán)境不確定性的一個動態(tài)反應過程,其異質性特征影響企業(yè)的治理行為,產生收益與成本。在經(jīng)濟轉型背景下,基于股權結構的公司治理效應研究非常普及,通過影響和塑造公司治理行為選擇而影響整個經(jīng)濟系統(tǒng)。本文以股權結構異質性為主線,對股權結構類型、非控制性大股東、股東合謀和終極股權四個維度,結合中國情境下的股權結構異質性的應用研究進行文獻梳理與述評,以期為我國公司治理制度下發(fā)揮股權結構的治理效應提供借鑒與啟示。
[Abstract]:Ownership structure is a dynamic reaction process of corporate governance system arrangement to the uncertainty of external environment. Its heterogeneity affects corporate governance behavior and produces benefits and costs. Under the background of economic transformation, the research on corporate governance effect based on equity structure is very popular, which affects the whole economic system by influencing and shaping the choice of corporate governance behavior. This paper takes the heterogeneity of ownership structure as the main line, combs and comments on the four dimensions of ownership structure type, non-controlling large shareholders, shareholder collusion and ultimate equity, combined with the applied research on the heterogeneity of ownership structure in Chinese context. In order to give full play to the governance effect of equity structure under the system of corporate governance in China.
