【摘要】：強(qiáng)制性信息披露制度自身固有的局限性使得投資者對(duì)于信息的需求得不到有效供給。上市公司積極進(jìn)行自愿性信息披露使投資者需求更好地得到滿足，是切實(shí)可行的有效途徑。本文對(duì)其與企業(yè)價(jià)值之間的相關(guān)性進(jìn)行研究，對(duì)于提高上市公司主動(dòng)進(jìn)行自愿性信息披露的積極性，促進(jìn)資本市場(chǎng)健康發(fā)展具有重要的理論與現(xiàn)實(shí)意義。 文章首先在我國國情基礎(chǔ)上，綜合分析文獻(xiàn)中比較成熟的研究成果，設(shè)計(jì)了一套評(píng)價(jià)自愿性信息披露水平的指標(biāo)體系。依照該體系，通過內(nèi)容分析法為實(shí)證研究中選取的100家樣本公司2009、2010年自愿性信息披露狀況進(jìn)行打分，進(jìn)而計(jì)算出反映自愿性信息披露水平的指數(shù)（VDI）。 為全面了解我國上市公司的自愿性信息披露，本文首先設(shè)計(jì)多元回歸模型實(shí)證檢驗(yàn)了VDI的影響因素。研究結(jié)果發(fā)現(xiàn)：VDI與國有持股比例、公司凈資產(chǎn)收益率、公司規(guī)模顯著正相關(guān)。研究說明這三項(xiàng)指標(biāo)是影響我國上市公司自愿性信息披露水平最重要的因素。 本文的最終落腳點(diǎn)是實(shí)證檢驗(yàn)自愿性信息披露水平與企業(yè)價(jià)值的相關(guān)性。本研究采用托賓Q值作為表征企業(yè)價(jià)值的指標(biāo)，，并將資產(chǎn)負(fù)債率、公司規(guī)模以及每股現(xiàn)金股利作為控制變量，結(jié)果顯示兩者顯著正相關(guān)，這對(duì)鼓勵(lì)上市公司積極披露自愿性信息具有重要的指導(dǎo)意義。
[Abstract]:The inherent limitation of mandatory information disclosure system makes investors' demand for information can not be effectively supplied. Voluntary disclosure of information by listed companies is a feasible and effective way to satisfy investors' needs. This paper studies the correlation between it and enterprise value, which has important theoretical and practical significance for improving the enthusiasm of voluntary disclosure of information and promoting the healthy development of capital market. Firstly, on the basis of our country's national conditions, this paper synthetically analyzes the relatively mature research results in the literature, and designs a set of index system to evaluate the level of voluntary information disclosure. According to this system, the voluntary disclosure status of 100 sample companies selected in the empirical study in 2009 and 2010 is graded by content analysis method, and the index reflecting the level of voluntary information disclosure is calculated. In order to fully understand the voluntary information disclosure of listed companies in China, this paper first designs a multivariate regression model to empirically test the influencing factors of VDI. The results show that the proportion of state-owned shares, the return on net assets, and the size of the company are positively correlated with the proportion of VDI. The study shows that these three indicators are the most important factors affecting the voluntary disclosure of information of listed companies in China. The final goal of this paper is to test the correlation between voluntary disclosure level and enterprise value. In this study, Tobin Q value is used as the indicator of enterprise value, and the asset-liability ratio, company size and cash dividend per share are taken as control variables. The results show that there is a significant positive correlation between the two factors. This will encourage listed companies to actively disclose voluntary information has an important guiding significance.
