【摘要】：本文主要研究版權證券化的特征及實施意義，證券化操作過程中面臨的法律問題，通過分析美日等國家的成功案例及對于我國的借鑒經(jīng)驗，從而進一步探討最適宜在我國發(fā)展的版權作品市場，最后對我國實施版權證券化進行可行性分析，并提出一些推動我國版權證券化實施的建議。 版權證券化兼具知識產(chǎn)權和金融證券兩方面的特性，是知識經(jīng)濟發(fā)展到一定階段的創(chuàng)新。版權證券化作為版權開發(fā)運營模式的一種創(chuàng)新，，對版權制度的發(fā)展和融資渠道的拓展都具有非常重要的意義。 在版權證券化的實際操作中所面臨著一些核心的法律問題，如可證券化資產(chǎn)的價值評估、“真實銷售”、“風險隔離”等，解決好這些問題是完成版權證券化的關鍵。 結(jié)合我國版權證券化發(fā)展的特殊性，通過對我國實施版權證券化的可行性分析，分析最適宜在我國實施版權證券化的是傳統(tǒng)的電影作品和新興的藝術品拍賣這兩大市場。 最后，根據(jù)我國版權證券化發(fā)展的現(xiàn)狀，提出包括完善金融中介市場、規(guī)范證券的信用評級、創(chuàng)造良好的版權生產(chǎn)環(huán)境、頒布專門性法律等應改進的市場監(jiān)管建議和法律建議。
[Abstract]:This paper mainly studies the characteristics and implementation significance of copyright securitization, the legal problems in the process of securitization operation, and analyzes the successful cases of America and Japan, as well as the reference experience for our country. Finally, the feasibility of implementing copyright securitization in China is analyzed, and some suggestions to promote the implementation of copyright securitization in China are put forward. Copyright securitization, with the characteristics of both intellectual property and financial securities, is an innovation in the development of knowledge economy to a certain stage. As an innovation of copyright development and operation mode, copyright securitization is of great significance to the development of copyright system and the expansion of financing channels. In the practical operation of copyright securitization, there are some core legal problems, such as the value evaluation of securitized assets, "real sale", "risk isolation" and so on, which are the key to the completion of copyright securitization. According to the particularity of the development of copyright securitization in China, this paper analyzes the feasibility of the implementation of copyright securitization in China, and analyzes that the two most suitable markets for the implementation of copyright securitization in China are the traditional film works and the new art auction. Finally, according to the present situation of the development of copyright securitization in China, the author puts forward some suggestions for market supervision and legal advice which should be improved, such as perfecting the financial intermediary market, standardizing the credit rating of securities, creating a good copyright production environment, promulgating special laws and so on.
