【摘要】：由于投資人理念、交易結(jié)構(gòu)以及市場(chǎng)分割等因素的影響,交叉上市公司的股票常常在不同上上市地表現(xiàn)出“同股不同價(jià)”的現(xiàn)象。而對(duì)于中國(guó)國(guó)內(nèi)在香港交叉上市的企業(yè)來(lái)說(shuō),還帶來(lái)了外資股即H股相對(duì)其在內(nèi)地上市A股折價(jià)這一特殊的難題。因此,本文基于國(guó)內(nèi)外對(duì)交叉上市股票“同股不同價(jià)”現(xiàn)象的研究,結(jié)合目前A股和H股市場(chǎng)的特征,從交叉上市公司股價(jià)差異角度展開(kāi)研究,提出影響其價(jià)格差異的主要因素,并給出相應(yīng)的政策建議,力圖為促進(jìn)我國(guó)股市健康發(fā)展提供有力參考。 本文從分析A股及H股市場(chǎng)的發(fā)展歷程以及其價(jià)格差異的特征入手,提出影響AH股價(jià)格差異的因素假說(shuō),同時(shí)立足于股權(quán)分置改革之后,選取同時(shí)在內(nèi)地A股和香港H股上市的45家公司作為樣本,以2007年1月至2011年6月的數(shù)據(jù)為樣本,采用面板數(shù)據(jù)分析方法對(duì)各因素進(jìn)行實(shí)證檢驗(yàn),并且應(yīng)用Johansen協(xié)整檢驗(yàn)及格蘭杰因果檢驗(yàn)對(duì)A股和H股市場(chǎng)的關(guān)聯(lián)性進(jìn)行考察。通過(guò)理論分析和月交易數(shù)據(jù)的實(shí)證檢驗(yàn),得出內(nèi)地滬深股票市場(chǎng)對(duì)香港股票市場(chǎng)在價(jià)格發(fā)現(xiàn)功能上存在一定程度的影響；同時(shí),兩地投資市場(chǎng)信息不對(duì)稱、流動(dòng)性差異、需求彈性差異、交易所在地風(fēng)險(xiǎn)差異、投資理念差異、行業(yè)因素以及重大政策影響都是造成A、H股差異的重要因素。 “同股不同價(jià)”現(xiàn)象恰恰反映了市場(chǎng)流動(dòng)性不足、信息披露不完善等多種問(wèn)題。鑒于此,文章最后提出加強(qiáng)內(nèi)地市場(chǎng)金融創(chuàng)新,健全市場(chǎng)套利機(jī)制以及強(qiáng)化交叉上市發(fā)行及監(jiān)管合作等政策。隨著市場(chǎng)分割的逐步削弱,長(zhǎng)期來(lái)看,A、H股的價(jià)格必將趨于一致,而股價(jià)的趨同也為A股市場(chǎng)盡快與國(guó)際接軌提供有力的保障。
[Abstract]:Because of the influence of investors' ideas, trading structure and market segmentation, cross-listed companies' shares often show "the same shares at different prices" on different listings. For Chinese cross-listed enterprises in Hong Kong, It also brings about the special problem of discount of foreign capital stocks, that is, H shares, relative to the A-shares listed in the mainland. Therefore, based on the research on the phenomenon of "same shares with different prices" in cross-listed stocks at home and abroad, this paper combines the characteristics of the current A-share and H-share markets. From the angle of stock price difference of cross-listed companies, this paper puts forward the main factors that affect the price difference of cross-listed companies, and puts forward corresponding policy suggestions in order to provide a strong reference for promoting the healthy development of Chinese stock market. Based on the analysis of the development process of A-share and H-share markets and the characteristics of their price differences, this paper puts forward the hypothesis of factors that influence the price differences of AH shares, and it is based on the reform of split share structure at the same time. Taking the data from January 2007 to June 2011 as samples, 45 companies listed in both mainland A shares and Hong Kong H-shares are selected as samples, and empirical tests are conducted by panel data analysis method. And using Johansen cointegration test and Granger causality test to examine the correlation between A-share and H-share market, through theoretical analysis and empirical test of monthly trading data, It is concluded that the Shanghai and Shenzhen stock markets in the mainland have a certain degree of influence on the price discovery function of the Hong Kong stock market. At the same time, the information asymmetry, liquidity differences, demand elasticity differences and local risk differences in the investment markets of the two places, The difference of investment concept, industry factors and major policy influence are the important factors that cause the difference of A and H shares. The phenomenon of "different prices of the same shares" precisely reflects the lack of liquidity in the market, the imperfect disclosure of information, and so on. In view of this, the article finally proposes to strengthen financial innovation in the mainland market. Improve the market arbitrage mechanism and strengthen cross-listing and regulatory cooperation policies. With the gradual weakening of market segmentation, in the long run, the prices of H shares will tend to converge. And the convergence of stock prices for A-share market as soon as possible with international integration to provide a strong protection.
