【摘要】：私募股權(quán)基金對我國中小企業(yè)的融資具有重要的促進(jìn)作用。私募股權(quán)基金的運(yùn)作環(huán)節(jié)包括資金籌集、項(xiàng)目選擇和退出三大環(huán)節(jié)。其中對私募股權(quán)基金整體發(fā)展影響最大的就是退出環(huán)節(jié)。只有退出機(jī)制順暢，才能保證私募股權(quán)基金可持續(xù)發(fā)展。而選擇正確的退出方式又是順利退出的第一步。由于我國私募股權(quán)基金發(fā)展相比國外私募股權(quán)基金發(fā)展起步晚，在退出環(huán)節(jié)還存在很多障礙和問題，從而制約了我國私募股權(quán)基金市場的發(fā)展。本文是基于私募股權(quán)基金退出相關(guān)理論和國內(nèi)外現(xiàn)狀以及結(jié)合典型案例，對私募股權(quán)基金退出問題進(jìn)行分析。主要包括六個(gè)部分：第一章是導(dǎo)論，主要介紹選題背景和意義，以及國內(nèi)外對私募股權(quán)投資退出的研究現(xiàn)狀。第二章是私募股權(quán)基金及退出相關(guān)理論介紹，主要介紹了私募股權(quán)基金概念及投資流程，另外介紹了私募股權(quán)基金退出的五大方式，并進(jìn)行了簡單的比較。第三章首先分析了我國私募股權(quán)基金發(fā)展現(xiàn)狀和退出現(xiàn)狀，隨后又提出我國私募股權(quán)基金退出中存在的主要問題。目前我國國內(nèi)仍以IPO退出方式為主，并且國內(nèi)IPO的比例逐步占據(jù)主導(dǎo)地位。第四章通過對美國、歐洲、日本、韓國和以色列私募股權(quán)基金退出現(xiàn)狀，并得出對完善中國私募股權(quán)基金退出的建議。第五章結(jié)合蒙牛私募投資案例，分析了我國私募股權(quán)基金投資過程中應(yīng)當(dāng)注意的問題。第六章做了最后的總結(jié)，得出政府應(yīng)該致力于建立宏觀經(jīng)濟(jì)和制度環(huán)境，私募股權(quán)投資機(jī)構(gòu)則應(yīng)該在退出方式上不斷創(chuàng)新。
[Abstract]:Private equity funds play an important role in promoting the financing of small and medium-sized enterprises in China. The operation of private equity funds includes raising funds. Project selection and withdrawal from the three major links. Among them, private equity fund overall development is the biggest impact on the exit link. Only the withdrawal mechanism is smooth. In order to ensure the sustainable development of private equity funds. And choosing the correct exit mode is the first step of the smooth exit. Because the development of private equity funds in China started later than foreign private equity funds. There are still many obstacles and problems in the exit link, which restricts the development of private equity fund market in China. This paper is based on the theory of private equity fund withdrawal and the current situation at home and abroad and combined with typical cases. This paper analyzes the withdrawal of private equity fund. It mainly includes six parts: the first chapter is the introduction, mainly introduces the background and significance of the topic. The second chapter is the introduction of private equity fund and exit theory, mainly introduces the concept and investment process of private equity fund. In addition, it introduces the five ways of private equity fund withdrawal, and makes a simple comparison. Chapter three first analyzes the current situation of private equity fund development and exit in China. Then it puts forward the main problems in the exit of private equity fund in our country. At present, IPO exit is still the main way in our country, and the proportion of domestic IPO gradually occupies the dominant position. Chapter 4th through the United States. Europe, Japan, South Korea and Israel private equity fund withdrawal status quo, and to improve the Chinese private equity fund exit recommendations. 5th chapter combined with Mengniu private equity investment case. This paper analyzes the problems that should be paid attention to in the process of private equity fund investment in China. Chapter 6th concludes that the government should devote itself to the establishment of macroeconomic and institutional environment. Private equity investment institutions should continue to innovate in the way they exit.
