【摘要】：本文論述了我國實(shí)行政府與社會(huì)資本合作(PPP)的幾個(gè)基本法律問題。項(xiàng)目管理是判斷PPP法律內(nèi)涵的前提性依據(jù),用以區(qū)別"合作國家"和"合作治理"等廣義政治關(guān)系。PFI和特許經(jīng)營等合作模式來源于商業(yè)交易慣例和傳統(tǒng)作法,引入國的認(rèn)同和模式要素組合應(yīng)當(dāng)尊重歷史演化過程和經(jīng)濟(jì)互惠結(jié)構(gòu)。PPP合作模式的適用范圍受到行政機(jī)關(guān)部門職責(zé)及其分工的影響,行政部門的作用應(yīng)當(dāng)反映合作模式與行政規(guī)制方式的內(nèi)在聯(lián)系,以減少因權(quán)限爭議提升規(guī)制成本。項(xiàng)目合作的法律形式是合同。多方面因素決定著合同屬性的制度選擇。本文主張實(shí)行以民事合同為主的制度,法定事項(xiàng)與約定事項(xiàng)可以分離,行政機(jī)關(guān)作為當(dāng)事人和法定監(jiān)管機(jī)關(guān)的法律地位也可以分離。
[Abstract]:This paper discusses some basic legal problems of implementing the cooperation between government and social capital in China. Project management is the leading basis for judging the legal connotation of PPP. Used to distinguish broad political relationships such as "cooperative states" and "cooperative governance". PFI and franchises are derived from commercial transaction practices and traditional practices, The identification of the introducing country and the combination of the elements of the model should respect the historical evolution process and the economic reciprocal structure. PPP cooperation model is affected by the responsibility of the administrative department and its division of labor. The role of the administrative department should reflect the internal relationship between the cooperation mode and the administrative regulation mode. The legal form of project cooperation is contract. Many factors determine the system choice of contract attribute. The legal status of administrative organs as parties and statutory regulatory bodies can also be separated.
