【摘要】:現(xiàn)代公司董事會(huì)的決策模式具有對(duì)外權(quán)威型和對(duì)內(nèi)共識(shí)型的雙重特征,從決策內(nèi)容看,主要表現(xiàn)為大量非程序化決策,因此,董事會(huì)在決策過(guò)程中彌補(bǔ)信息獲取不足、充分發(fā)揮群體智慧至關(guān)重要。為此,宜借鑒組織行為研究成果,在決策中做好信息數(shù)據(jù)的前瞻性把握,培養(yǎng)獨(dú)立、多樣的信息來(lái)源,積極、主動(dòng)地參與戰(zhàn)略目標(biāo)設(shè)定,同時(shí)在董事會(huì)內(nèi)部努力營(yíng)造建設(shè)性沖突氛圍,克服決策者認(rèn)知偏誤對(duì)群體決策的影響。
[Abstract]:The decision-making mode of the board of directors of modern companies has the dual characteristics of external authority and internal consensus. From the decision content, it is mainly manifested in a large number of non-procedural decision-making, therefore, the board of directors in the decision-making process to make up for the lack of access to information. It is essential to give full play to collective wisdom. Therefore, we should draw lessons from the research results of organizational behavior, make a forward-looking grasp of information data in decision-making, cultivate independent and diverse sources of information, actively and actively participate in strategic goal setting. At the same time, we try to create a constructive conflict atmosphere within the board of directors to overcome the impact of cognitive bias on group decision-making.
