【摘要】：在當(dāng)今世界，經(jīng)濟(jì)全球化和貿(mào)易自由化使得外資并購(gòu)方興未艾，已成為不可阻擋的趨勢(shì)，外資并購(gòu)已成為當(dāng)代國(guó)際經(jīng)濟(jì)發(fā)展趨勢(shì)。加入世貿(mào)組織，，中國(guó)的經(jīng)濟(jì)越來(lái)越與國(guó)際趨勢(shì)整合，加入世貿(mào)組織以來(lái)，中國(guó)的市場(chǎng)開(kāi)放水平提高，大量的跨國(guó)公司進(jìn)入國(guó)內(nèi)市場(chǎng)，跨國(guó)公司選擇和當(dāng)?shù)仄髽I(yè)合作的方式來(lái)擴(kuò)大市場(chǎng)，合作主要是參股，合資成立一家新公司，以及收購(gòu)國(guó)內(nèi)企業(yè)。因此，外商在中國(guó)投資的形式開(kāi)始進(jìn)入一個(gè)新的階段，并形成一些外資并購(gòu)的新形式。中國(guó)的經(jīng)濟(jì)運(yùn)行環(huán)境和結(jié)構(gòu)有一定的特殊性，外資并購(gòu)在中國(guó)的發(fā)展也有一些獨(dú)特的動(dòng)機(jī)和影響力。 隨著中國(guó)各行業(yè)外國(guó)投資的不斷深化，也逐漸顯露出來(lái)外資并購(gòu)的一些利弊，成為我國(guó)經(jīng)濟(jì)生活中的焦點(diǎn)問(wèn)題，帶來(lái)很多的爭(zhēng)議。外資并購(gòu)，在一定程度上可以增強(qiáng)企業(yè)的國(guó)際競(jìng)爭(zhēng)力，提高企業(yè)的經(jīng)濟(jì)效益，但同時(shí)也人為地改變市場(chǎng)結(jié)構(gòu)，加速經(jīng)濟(jì)權(quán)力的集中，限制有效的市場(chǎng)競(jìng)爭(zhēng)。其中，如果沒(méi)有法律規(guī)制，勢(shì)必會(huì)成為并購(gòu)行業(yè)的壟斷或寡頭地位，從而影響了正常的市場(chǎng)經(jīng)濟(jì)的發(fā)展，甚至危及整個(gè)國(guó)民經(jīng)濟(jì)的健康運(yùn)行。 在此背景下，外資并購(gòu)的研究具有重要的現(xiàn)實(shí)意義。面對(duì)洶涌而至的并購(gòu)浪潮，我們應(yīng)該如何處理。 本文除緒論外，共分為五個(gè)部分。 第一部分：主要對(duì)于外資并購(gòu)在我國(guó)的歷史發(fā)展、特點(diǎn)對(duì)我國(guó)企業(yè)的積極和消極影響作了一個(gè)簡(jiǎn)單的陳述，首先對(duì)外資并購(gòu)在我國(guó)發(fā)展進(jìn)行回顧，其次對(duì)于外資并購(gòu)的特點(diǎn)及其對(duì)我國(guó)經(jīng)濟(jì)的影響進(jìn)行了分析，其中既包括正面影響也包括負(fù)面影響。 第二部分：從外資并購(gòu)我國(guó)食品行業(yè)的現(xiàn)狀、特點(diǎn)方面進(jìn)行闡述，分析了外資在我國(guó)食品行業(yè)的并購(gòu)情況。 第三部分：通過(guò)具體的案例闡述外商在食品行業(yè)中的并購(gòu)動(dòng)因以及并購(gòu)具體過(guò)程，并購(gòu)對(duì)雙方的影響等。 第四部分：總結(jié)了食品行業(yè)外資并購(gòu)中的突出問(wèn)題。如民族品牌保護(hù)問(wèn)題、行業(yè)壟斷問(wèn)題及對(duì)與食品行業(yè)相關(guān)的行業(yè)的影響問(wèn)題。 第五部分：根據(jù)前文對(duì)我國(guó)企業(yè)以及政府提出一些建議。
[Abstract]:In today's world, economic globalization and trade liberalization make foreign mergers and acquisitions in the ascendant, has become an irresistible trend, foreign mergers and acquisitions has become the trend of contemporary international economic development. After China's entry into WTO, China's economy is more and more integrated with the international trend. since China's entry into WTO, the level of market opening in China has improved, a large number of multinational corporations have entered the domestic market, multinational corporations have chosen to cooperate with local enterprises to expand the market, the cooperation is mainly through equity participation, the establishment of a new joint venture, and the acquisition of domestic enterprises. Therefore, the form of foreign investment in China began to enter a new stage, and formed some new forms of foreign mergers and acquisitions. China's economic operating environment and structure have certain particularity, and the development of foreign mergers and acquisitions in China also has some unique motivation and influence. With the deepening of foreign investment in various industries in China, some advantages and disadvantages of foreign mergers and acquisitions have gradually emerged, which has become the focus of economic life in China, and has brought a lot of controversy. To a certain extent, foreign mergers and acquisitions can enhance the international competitiveness of enterprises and improve the economic benefits of enterprises, but at the same time, it can also artificially change the market structure, accelerate the concentration of economic power, and limit effective market competition. Among them, if there is no legal regulation, it is bound to become the monopoly or oligopoly position of M & A industry, which affects the development of normal market economy and even endangers the healthy operation of the whole national economy. In this context, the study of foreign mergers and acquisitions has important practical significance. In the face of the surging wave of mergers and acquisitions, how should we deal with it. In addition to the introduction, this paper is divided into five parts. The first part mainly makes a brief statement on the historical development and characteristics of foreign capital mergers and acquisitions in China. First, it reviews the development of foreign capital mergers and acquisitions in China. Secondly, it analyzes the characteristics of foreign capital mergers and acquisitions and their impact on China's economy, including both positive and negative effects. The second part expounds the present situation and characteristics of foreign capital merger and acquisition of food industry in our country, and analyzes the situation of foreign capital merger and acquisition in food industry of our country. The third part: through specific cases to explain the motivation of foreign mergers and acquisitions in the food industry and the specific process of mergers and acquisitions, the impact of mergers and acquisitions on both sides. The fourth part: summarizes the outstanding problems in the foreign mergers and acquisitions of the food industry. Such as national brand protection, industry monopoly and its impact on food industry. The fifth part: according to the previous article to our country enterprise as well as the government puts forward some suggestions.
