太鋼集團(tuán)財(cái)務(wù)公司設(shè)立及運(yùn)營(yíng)方案研究

【摘要】:企業(yè)集團(tuán)財(cái)務(wù)有限公司經(jīng)過25年的發(fā)展,在集團(tuán)財(cái)務(wù)管理和資金管理方面發(fā)揮了越來越重要的作用,成為企業(yè)集團(tuán)優(yōu)化資源配置、控制風(fēng)險(xiǎn)、提升管理水平、實(shí)現(xiàn)產(chǎn)融協(xié)同發(fā)展的內(nèi)生需求。目前,太鋼集團(tuán)所屬子公司60余個(gè),未來隨著“十二五”規(guī)劃的實(shí)施,集團(tuán)經(jīng)營(yíng)規(guī)模還將進(jìn)一步擴(kuò)大、子公司數(shù)量還會(huì)進(jìn)一步增長(zhǎng),建設(shè)以企業(yè)集團(tuán)財(cái)務(wù)公司為核心的資金管理體系迫在眉睫。 本文擬以太鋼集團(tuán)財(cái)務(wù)公司建設(shè)為實(shí)例,采用理論與實(shí)踐相結(jié)合的方法,對(duì)太鋼集團(tuán)財(cái)務(wù)公司設(shè)立及運(yùn)營(yíng)方案進(jìn)行研究,旨在尋求適合太鋼集團(tuán)財(cái)務(wù)公司發(fā)展的道路。 本文首先對(duì)企業(yè)集團(tuán)財(cái)務(wù)公司的理論及發(fā)展?fàn)顩r進(jìn)行深入研究,然后對(duì)太鋼集團(tuán)基本情況、發(fā)展戰(zhàn)略、經(jīng)營(yíng)情況以及現(xiàn)階段財(cái)務(wù)管理模式做簡(jiǎn)要介紹,在此基礎(chǔ)上對(duì)設(shè)立企業(yè)集團(tuán)財(cái)務(wù)公司進(jìn)行需求分析,分析了太鋼集團(tuán)建設(shè)財(cái)務(wù)公司的可行性和必要性,最后提出了太鋼集團(tuán)財(cái)務(wù)公司設(shè)立及運(yùn)營(yíng)方案,并對(duì)財(cái)務(wù)公司未來經(jīng)營(yíng)情況進(jìn)行了預(yù)測(cè)。 太鋼集團(tuán)財(cái)務(wù)公司建設(shè)方案分為公司設(shè)立方案和公司運(yùn)營(yíng)方案兩大部分,其中設(shè)立方案是文章的重點(diǎn),內(nèi)容包括公司的資本結(jié)構(gòu)、治理結(jié)構(gòu)、組織架構(gòu)、戰(zhàn)略目標(biāo)、功能定位、經(jīng)營(yíng)宗旨、經(jīng)營(yíng)方針、業(yè)務(wù)架構(gòu)、風(fēng)險(xiǎn)管理體系、薪酬和績(jī)效管理方案等,是財(cái)務(wù)公司設(shè)立的基礎(chǔ)架構(gòu)和發(fā)展方向。運(yùn)營(yíng)方案是在公司功能定位的基礎(chǔ)上,,對(duì)公司主要業(yè)務(wù)資金歸集業(yè)務(wù)和外部融資集中協(xié)調(diào)業(yè)務(wù)進(jìn)行方案設(shè)計(jì),包括方案目標(biāo)、操作原則、實(shí)施范圍、業(yè)務(wù)流程等環(huán)節(jié),是公司業(yè)務(wù)運(yùn)營(yíng)的指導(dǎo)性文件。 太鋼集團(tuán)財(cái)務(wù)公司設(shè)立及運(yùn)營(yíng)方案是太鋼集團(tuán)財(cái)務(wù)公司建設(shè)的藍(lán)圖性文件,希望能對(duì)大型集團(tuán)企業(yè)的財(cái)務(wù)公司建設(shè)有所借鑒。
[Abstract]:After 25 years of development, Enterprise Group Finance Co., Ltd. has played a more and more important role in group financial management and capital management. It has become an enterprise group to optimize the allocation of resources, control risks, and improve the level of management. Realize the endogenous demand of coordinated development of production and finance. At present, there are more than 60 subsidiaries of the Taigang Group. In the future, with the implementation of the 12th Five-Year Plan, the business scale of the group will be further expanded, and the number of subsidiaries will further increase. It is urgent to build a fund management system with enterprise group finance company as the core. This paper takes the construction of finance company of TISCO Group as an example, adopts the method of combining theory and practice to study the plan of establishment and operation of Financial Company of TISCO Group, in order to find a way suitable for the development of Finance Company of TISCO Group. In this paper, the theory and development of enterprise group finance company are studied in depth, and then the basic situation, development strategy, management situation and current financial management mode of Taigang Group are briefly introduced. On the basis of the analysis, the paper analyzes the feasibility and necessity of the establishment of the finance company of the enterprise group, and finally puts forward the establishment and operation plan of the finance company of the group. The future operation of the financial company is forecasted. The finance company construction plan of Taigang Group is divided into two parts: the company establishment plan and the company operation plan, among which the establishment plan is the focus of the article, including the capital structure, governance structure, organizational structure, strategic objective, function orientation of the company. Business principles, business policies, business structures, risk management systems, compensation and performance management programs are the infrastructure and development direction of finance companies. On the basis of the function orientation of the company, the operation plan designs the main business fund gathering business and the external financing centralized coordination business, including program objectives, operational principles, implementation scope, business process, etc. Is the company's business operation guidance document. The establishment and operation plan of the finance company of Taigang Group is the blueprint document of the construction of the finance company of Taigang Group, and it is hoped that it can be used for reference in the construction of the financial company of the large group enterprise.
